COMMERCE BUSINESS DAILY ISSUE OF DECEMBER 14,1999 PSA#2495SP -- NOTICE OF INTENT TO NEGOTIATE PARTNERSHIP AGREEMENT(S) FOR THE
DEVELOPMENT OF MULTI-MEDIA PRODUCTS AND SERVICES RELATED TO THE
EXPLORATION AND DEVELOPMENT OF SPACE The National Aeronautics and Space
Administration (NASA) intends to negotiate partnership agreement(s) for
the commercial development of multi-media products and services related
to the exploration and development of space. These agreements will not
be contracts, or other awards, involving the payment of NASA funds.
Successful partnership offers will involve the creation of new business
opportunities based on potential public demand for high quality, live
and recorded, still and video imagery of space scenes and activities,
particularly those related to the assembly and operation of the new
International Space Station (ISS). NASA will provide selected partners
access to imagery; NASA film and video archives; and ground and space
facilities. In some cases, NASA may agree to limited exclusive rights
under certain conditions where there is significant private investment
and the partner provides benefits to NASA and the public. NASA is in
receipt of several offers related to space media products and services,
as well as for commercialization of digitized versions of NASA film and
video archives. These offers were submitted in response to the general
release of the Commercial Development Plan for the International Space
Station in November, 1998. This notice of intent is issued in order to
advise the multi-media industry and other business entities of the
opportunity to participate. This notice covers, but is not limited to,
the following multi-media services: 1) provision of high-definition
television (HDTV) camera(s), video compression system(s) and associated
services for use on board the International Space Station (ISS) and the
Space Shuttle Fleet during ISS construction; 2) daily, weekly or
monthly space documentary programming; 3) live and recorded space video
streaming on the internet; 4) preparation and distribution of space
educational content as an additional component of overall space
programming and internet content; 5) digitization and cataloging of a
significant portion of NASA film, video and still photograph archives
spanning over 80 years, representing over 40 thousand hours of video
and 10 million feet of film, and; 6) providing ground based multi-media
production services including HDTV, on an as required basis, to
communicate progress in space exploration and development by NASA field
centers located across the United States. Offerors may submit proposals
on one or more of the above, as well as on multi-media concepts not
listed. A wide range of partnership options for the above services are
possible. In an arrangement where a private partner agrees to provide
multi-media equipment for use on-board the NASA Space Shuttle or
International space Station, for example, the Agency may cover the
costs of the transportation for the multi-media equipment to space.
Required on-board payload accommodations and resource costs normally
would be the burden of the partner. Further, if the enhancement is
significant enough, the equipment may be the only U.S. multi-media
equipment on the spacecraft during the period of the agreement. It is
anticipated the entrepreneurial offers and partnership arrangements
will be unique, with the specific responsibilities of NASA and the
partner to be negotiated. Offers will be evaluated and selected based
on their overall value to the public, and to NASA, consistent with the
evaluation criteria found at the web site referenced below. NASA will
require that any copyright in the imagery produced through these
multi-media services be assigned to NASA. NASA may agree to grant a
partner(s) limited exclusive commercial rights in the imagery produced.
Under certain circumstances, this might include placement of the
partner brand name or logo on the product or service. A portion of the
imagery produced must be made available to NASA for public
distribution without partner markings. If a recognizable person appears
in any multi-media product, use for commercial purposes may infringe a
right of privacy or publicity and permission should be obtained from
the recognizable person. If the recognizable person is a current civil
servant, member of the uniformed services, or subject to a standards
of conduct agreement, they may face restrictions on granting such
permission for some types of uses. Offerors will be responsible for all
financing of their contributions to a partnership. To the extent
proposed financing arrangements would utilize innovative mechanisms,
such as public service sponsorships, consideration of such offers may
involve policy issues requiring review and concurrence of NASA and
other Government entities. NASA will review any offers submitted in a
timely response to this notice. Offers received after the due date may
not be evaluated. NASA may conduct separate and parallel negotiations
with multiple offerors. NASA may select none or one or more offers for
a formal agreement, the terms of which are not expected to exceed five
years. The due date for responding to this notice is January 31, 2000.
