17. This is a sole source combined synopsis/solicitation for commercial
services prepared in accordance with the format in the Federal
Acquisition Regulation (FAR), Subpart 12.6, as supplemented with
additional information included in this notice. This announcement
constitutes the only solicitation, proposals are being requested and
written solicitation will not be issued. NOTICE: At the end of this
synopsis/solicitation, the following note will appear: END OF TEXT. If
the copy that the prospective offeror receives stops before this
point, s/he has not received all of the information required. This is
usually the result of editing by the on-line synopsis services. If this

862-8950, and a full version will be faxed to you. Solicitation
#N00421-96-Q-1142 is issued as a Request For Quote (RFQ). The
incorporated document, provisions, and clauses are those in effect
through Federal Acquisition Circular 90-37 and Defense Acquisition
Circular 91-10. This action is not set aside for small business. The
SIC Code is 7629. The contract line item is CLIN-001: Refurbishment of
Vertical Speed Increaser Gearbox. The equipment is used in testing and
evaluating helicopter drive systems. The government intends to solicit
and negotiate the proposed contract on a sole source basis with the
Philadelphia Gear Corp., 181 S. Gulph Rd., King of Prussia, PA 19406,
under the authority of FAR 6.302-1 (ONLY ONE RESPONSIBLE SOURCE AND NO
OTHER SUPPLIES OR SERVICES WILL SATISFY AGENCY REQUIREMENTS). The
Philadelphia Gear Corp. possesses all the proprietary data needed to
perform the refurbishment. This notice of intent is not a request for
competitive proposals. However, interested parties may submit a
proposal in which they identify their interest and capability. All
proposals received by 13 September 1996 will be considered by the
government solely for the purpose of determining whether to initiate a
competitive procurement. The government reserves the right to process
the procurement on a sole source basis based upon the responses
received. The government will not pay for any information received. FAR
52.212-1 Instructions to Offerors--Commercial Items (Oct 1995) is
incorporated by reference and applies to this acquisition. The
government intends to award this sole source action to Philadelphia
Gear Corp. Therefore, the provision at 52.212-2 Evaluation--Commercial
Items (Oct 1995) does not apply to this acquisition. The government
will evaluate Philadelphia Gear Corp's proposal for fair and
reasonableness, in accordance with FAR Part 15, before making an award.
Each offeror shall include a completed copy of the provisions at FAR
52.212-3 (MAR 1996), Offeror Representations and
Certifications--Commercial (OCT 1995) with its proposal. FAR 52.212-4,
Contract Terms and Conditions--Commercial Items (OCT 1995), is
incorporated by reference and applies to this acquisition. The clause
at 52.212-5, Contract Terms and Conditions Required to Implement
Executive Orders--Commercial Items (JAN 1996), is incorporated by
reference, however, for paragraph (b), only the following clauses apply
to this acquisition as follows: 52.222-26, Equal Opportunity (APR
1984), 52.222-35, Affirmative Action for Disabled and Vietnam Era
Veterans (APR 1994), 52.222-36, Affirmative Action for Handicapped
Workers (APR 1994), 52.222-37, Employment Reports on Special Disabled
Veterans and Veterans of Vietnam Era (JAN 1988). WARRANTY--The
contractor shall extend to the government full coverage of any standard
commercial warranty normally offered in a similar commercial
refurbishment. Acceptance of the warranty does not waive the
government's right with regard to the other terms and conditions of
this contract. In the event of a conflict, the terms and conditions of
the contract shall take precedence over the warranty. The warranty
period shall begin upon delivery and acceptance of the refurbished
item. This is a DO rated contract. Offers are due to Tom Semones,
