SKILLS & EXPERIENCE. A. In-depth knowledge of and extensive experience
in the electric utility industry, its regulatory and legal structure,
current technologies, methods of utility operation, and bankrupt and
troubled utilities. B. Possession of credentials, expertise and
experience in providing testimony for bankruptcy and other court
proceedings and before state regulatory bodies on the full spectrum of
complex electric utility issues (e.g., revenue requirements,
alternative, traditional and innovative rate making, rate disparity,
rates necessary to support debt restructure agreements, regional power
markets, asset valuation) and in support of proposed electric utility
debt restructure agreements. C. Based on in-depth knowledge,
credentials, and experience in the electric utility industry,
demonstrated ability to provide specific financial and economic
expertise and counsel to RUS in support of programmatic decisions and
in evaluation of debt restructuring proposals and negotiating
strategies for RUS's troubled and bankrupt electric utilities. Examples
of such counsel would include advice and assistance on bankruptcy
issues; alternative debt restructuring proposals; rate regulation;
industry wide issues such as demand side management, retail wheeling,
open access, deregulation, FERC rulings; impacts of competition on the
electric utility industry; competitive alternatives to a utility's
existing power supply arrangements; impact of regulatory decisions on
the financial conditions of RUS's borrowers; viability of potential
merger/consolidation/asset disposition of utilities; and responding to
assertions made by RUS's borrowers/other creditors/regulatory
authorities. D. Demonstrated experience in making presentations to
electric cooperative boards of directors, senior management of electric
utility organizations, consultants, legal counsel, other creditors
regarding research and special analyses conducted which form the basis
for debt restructures, plans of reorganization or other negotiated
settlements. E. Demonstrated ability to provide specialized and speedy
ad hoc financial and risk analyses of alternative debt restructure
proposals and plans of reorganization for troubled and bankrupt
electric utilities during the course of ongoing negotiations. F.
Demonstrated ability to develop integrated financial and economic
models, forecasts and risk assessments to provide financial, economic,
regional power market and alternate fuels analyses which, along with
applicant's electric industry experience, form the basis for providing
appropriate counsel to RUS on its troubled and potentially troubled
borrowers. G. Must be willing to provide analytical support and
financial and economic counsel as an active participant on Government's
negotiating team, and frequently travel (at times with short notice) to
1ocations outside of the Washington, D.C. area. Interested sources may
