CORPORATION NOTICE OF INTENT TO SOLICIT QUALIFIED CONTRACTORS FOR A TAX
RETURN PREPARATION SERVICES SOLICITATION OF SERVICES 0710-95-0007 The
Atlanta office of Resolution Trust Corporation (''RTC'') intends to
distribute a Solicitation of Services (0710-95-0007) requesting
proposals from qualified firms to provide tax return preparation
services for Atlanta Office receiverships, conservatorships, and
subsidiaries. These services will include, but are not limited to:
preparing consolidated Federal tax returns Form 1120; preparing related
State income tax returns; preparing related partnership tax returns for
which the bank or subsidiary is Tax Matters Partner; preparing final
Federal Proforma and State returns for subsidiaries that were sold or
liquidated; preparing tax opinions on the tax effect of liquidation of
dormant/inactive subsidiaries and request tax clearance letter for
those entities if so required by the states involved; and preparing
related intangible/tangible tax returns as required for bank or
subsidiary. The RTC is seeking up to two (2) qualified offerors to
provide these services through December 31, 1995, with two twelve (12)
month renewal options. To be considered well qualified, a firm must:
(1) have experience preparing Federal and State tax returns for
(solvent and/or insolvent) financial institutions; (2) have knowledge
and understanding regarding matters related to Federal Financial
Assistance as reflected in Proposed Regulation 1.597; and (3) qualify
as a Certified Public Accounting Firm, or as a Certified Public
Accountant working as a sole proprietor. Firms desiring to respond to
this announcement must submit a notification letter on official firm
letterhead stating affirmatively that the firm is qualified to perform
the above services and interested in receiving a solicitation. The
notification letter must include: firm name; street address; phone and
facsimile numbers; federal tax identification number (TIN); name of a
contact person; whether or not Offeror is a Minority or Women Owned
Business (''MWOB''); and letter must be signed by an officer or general
partner of the firm. Notification letters must include a firm resume
not to exceed four pages. It is the intent of the RTC to distribute the
solicitation only to qualified firms. MWOBs are encouraged to apply and
will be given special consideration. RTC also encourages the
participation of MWOBs in joint venture and subcontracting
arrangements. Notification letters must be hand-delivered or sent by
overnight courier or certified mail return receipt requested to:

must be received on or before: 2:00 PM Eastern Standard Time on
February 22, 1995. Notification letters received after this time or
which do not conform with all of the above instructions will be deemed
non-responsive. Firms responding as directed in this announcement with
the appropriate experience will be mailed a Solicitation of Services
