Control Number VA-25-00002323 3 JUSTIFICATION FOR AN EXCEPTION TO FAIR OPPORTUNITY Contracting Activity: Department of Veterans Affairs (YA) Office of Procurement, Acquisition, and Logistics Technology Acquisition Center 23 Christopher Way Eatontown, NJ 07724 Description of Action: This proposed action is for a firm-fixed price order to be issued under the National Aeronautics and Space Administration (NASA) Solutions for Enterprise-Wide Procurement (SEWP) V Governmentwide Acquisition Contract (GWAC) to acquire a Brand Name Vocera Premier Licenses and Maintenance Support. Description of the Services: The Department of Veterans Affairs (VA) Fayetteville Healthcare System has a requirement for ongoing service and support for its existing Vocera hands-free wireless communication system which will facilitate communications site wide, between campuses and remotely. The ability to communicate clearly and at the point of care and beyond is essential to assure efficient coordination of services throughout all departments. The Contractor shall provide support and maintenance for the system in alignment with Federal Information Processing Standards (FIPS) 140-2 compliance for its hands-free, communication system. The period of performance for usage, software maintenance and support services shall consist of one (1) 12-month base period with four (4) 12- month option period Th v r II D iv r r P ri f P rt rm n h II n exceed 60 months. Statutory Authority: Pursuant to Federal Acquisition Regulation (FAR) 16.505(a)(4), the following brand name requirement is being justified and approved as an exception to fair opportunity under the statutory authority of Section 41 U.S.C. 4106(c)(2) as implemented by FAR 16.505(b)(2)(i)(B), entitled ""Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique and highly specialized."" Rationale Supporting Use of Authority Cited Above: Based upon market research, as described in Section 8 of this justification, it was determined that limited competition is viable among resellers for the brand name Vocera Premier Licenses. Only Vocera, or a reseller, can provide the service and support for this hands-free wireless communication system. Only Vocera, or its resellers, have access to the proprietary source code and therefore, are the only vendors who can provide the required support and maintenance. Other support and maintenance providers do not have the proprietary source code and the software updates and releases necessary to provide the required support and maintenance services. This code is required to push through updates and to ensure that all the services provided are properly configured. Without access to this code, any other source would not be able to provide the support and maintenance services on the existing software and hardware. Maintenance services performed by parties not authorized by Vocera would remove liability for performance from the manufacturer. Due to the proprietary constraints, only Vocera or its resellers can provide support and maintenance, the use of any other brand product would require a complete replacement of the current Vocera estimated that this replacement would result in a duplicated cost of over lus additional costs for maintenance and training which is not expected to be recovered through competition. Failure to secure these services would result in loss of digital two-way audio communication with staff throughout the Fayetteville Healthcare System, reducing staff productivity and efficiency and present a risk to patient care. Efforts to Obtain Competition: Market research was conducted, details of which are in Section 8 of this justification. This effort did not yield any additional sources that can meet the Government's requirements. However, the undersigned VA technical representative determined that limited competition is available among authorized resellers for brand name Vocera Premier Licenses and Maintenance Support. In accordance with FAR 16.505(a)(4)(iii)(A)(1), this justification will be provided with the solicitation to all appropriate NASA SEWP V GWAC holders. Furthermore, in accordance with FAR 5.301, 16.505(b)(2)(ii)(D), and 16.505(a)(4)(iii), the award notice for this action will be synopsized on the Contract Opportunities website and this justification will be made publicly available within 14 days of award. Actions to Increase Competition: The Government will continue to conduct market research to ascertain if there are changes in the marketplace that would enable future actions to be competed. Market Research: The Government's technical experts conducted market research from May 2024 through June 2024 to identify industry capabilities that may meet the VA's minimum requirements by reviewing vendor websites, information materials and other tools that can provide the license solutions and maintenance support. The VA's market research further focused on the government's primary requirements, unique product differences and salient characteristics identified in the Product Description. The Fayetteville Healthcare System requires a solution that provides licenses supplied by Vocera. The Brand Name Vocera is compatible with the Vocera system already fielded in the Fayetteville Healthcare and meets the interoperability and compatibility. In addition, only licensing supplied from an authorized Vocera vendor is compatible with the existing Vocera system. Furthermore, research revealed more than one (1) SDVOSB approved reseller that provides the Vocera licenses and Maintenance Support exists deemed capable of supporting the Healthcare System. Additionally, Subject Matter expert reviewed historical acquisition contracts and informal vendor quote and based on these market efforts, it was determined that only Vocera brand name Licenses can meet all the VA's needs. Additional market research was conducted by the Contract Specialist on May 31, 2024, utilizing the NASA SEWP V GWAC Provider Lookup Tool. The Provider Lookup Tool results yielded six (6) contract holders which are Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) offering Vocera products consisting of two (2) approved resellers. In addition, the NASA SEWP V GWAC has a dynamic catalog where line items can be added on customer requests. Based on this information, there is a reasonable expectation that limited competition exists on the NASA SEWP V GWAC for this requirement. Other Facts: None Technical and Requirements Certification: I certify that the supporting data under my cognizance, which are included in this justification, are accurate and complete to the best of my knowledge and belief. Fair and Reasonable Cost Determination: I hereby determine that the anticipated price to the Government for this contract action will be fair and reasonable based on historical pricing of previous orders, anticipated competition, and discounts among NASA SEWP V GWAC holders. Additionally, NASA SEWP V determined that the catalog prices on it GWACs are fair and reasonable. Finally, the Contracting Officer shall further determine fair and reasonable pricing based upon a price analysis of the officer's quote as compared to the Government's Independent Government Cost Estimate. Procuring Contracting Officer Certification: I certify that this justification is accurate and complete to the best of my knowledge and belief. This contract action exceeds the simplified acquisition threshold, but does not exceed $750,000, therefore, the certification required by FAR 6.304(a)(1) serves as the Contracting Officer's approval.
