- **THIS IS A NOTICE OF INTENT TO AWARD A SOLE SOURCE CONTRACT TO HOGAN LOVELLS US LLP ** This is a notice issued as required by FAR 5.203. DFC intends to award this sole source contract under the authority of FAR 13.106-1(b) and negotiate a purchase order with Hogan Lovells US LLP. The International Development Finance Corporation (DFC) intends to negotiate a sole source purchase order.�Development Finance Corporation (""DFC"") proposes to acquire legal services for the making of an equity investment in BEEL Sustainable Credit Fund II in Mexico (the ""Fund"").�DFC requires the services of a law firm that has offices in the United States and in Mexico in order to effectively manage DFC's proposed investment in the Fund, which is domiciled in Mexico, but which will have most of the substantive terms required by DFC in its US-law governed side letter. DFC is co-investing with the International Finance Corporation (IFC); through a competitive bidding process IFC has engaged Hogan Lovells (Hogan) to represent IFC in its investment in the Fund, and Hogan has already heavily negotiated terms with the Fund including E&S terms. Given the alignment between IFC and DFC in this investment utilizing Hogan, is best suited in terms of skills to provide the services in this matter.�As set forth above, Hogan won a competitive contract with IFC to represent them as both US and Mexican counsel in their investment in the Fund earlier in 2024. Since engagement by the IFC, Hogan has been involved negotiating terms with the Fund, including environment and social requirements that are largely shared between IFC and DFC. Hogan is therefore quite familiar with the particularities of the investment and hiring co-counsel with IFC allows DFC to share costs with IFC and increase our bargaining power as investors via better coordination and collaboration.� The North American Industry Classification System (NAICS) code for this acquisition is 54119. This notice of intent is not a request for proposals or quotes; however, all responsible and capable sources may submit statements of capabilities, which, if received within two calendar days of publication of this notice, shall be considered by DFC. A determination by the Government not to open the requirement to competition based upon the responses to this notice is solely within the discretion of the Government. This notice does not restrict the Government in any way to an ultimate acquisition approach. Information received will be considered solely for the purpose of determining whether to conduct a competitive procurement. THIS IS NOT A REQUEST FOR PROPOSAL AND IS NOT TO BE CONSIDERED AS A COMMITMENT BY THE GOVERNMENT.
