- This announcement constitutes a Request for Proposals (RFP) in accordance with Federal Acquisition Regulation (FAR) Part 12 ""Acquisition of Commercial Products and Commercial Services"", and supplemented by FAR Part 15 ""Contracting by Negotiation"". The NAICS code is 541111 ""Offices of Lawyers"".� The Government anticpates award of a commercial service contract consisting of an 18-month period of performance for the base tasks and several option tasks which may extend for up to 18-months from date of award of the option. The total period of performance is not to exceed 36 months.�Contract Line ITems for this contract are predominantly Firm Fixed Price. There are some Cost Plus Fixed Fee line items.�Award will be made based on the best value to the Government using a subjective tradeoff source selection process.� Please note all RFP amendments or other publicly releasable information will reside within this announcement in the Contract Opportunities section of SAM.gov. Proposal submissions are due no lated than 430PM, Eastern Daylight Time on Wednesday 03 April 2024. To be eligible for award, Offeror must be registered in SAM.gov. No paper copes of the RFP will be issued. No paper copies of proposals will be accepted. Offerors are responsible themselves to check SAM.gov for amendments to this RFP. Questions should be addressed to the Primary Point of Contact listed in this announcement, Mr. David A. Kaplan, Contracting Officer at email David.A.Kaplan@usace.army.mil and a copy submitted to the Secondary Point of Contact, Mrs. Susannah Chung, Contract Specialist at email: Susannah.Chung@usace.army.mil. The Government will consider all correspondence submitted prior to the deadline for questions, but will not issue individual responses.�No questions will be accepted via telephone.�No individual meetings with offerors will be scheduled. Voicemails or requests for meetings will not receive a response. Questions received after the deadline for questions may or may not recieve a response.�Questions are due no later than 430PM, Eastern Daylight Time on Thursday 21 March 2024.� Description of the Requirement:�The purpose of this contract will be to provide legal advisory services to the United States Army Corps of Engineers (USACE) Corps Water Infrastructure Finance Program (CWIFP), to support the underwriting, structuring, negotiating, and closing of loans and loan guarantees authorized under the Water Infrastructure Finance and Innovation Act (WIFIA). The selected Contractor shall provide the level of effort, material, equipment, and facilities necessary to support the tasks listed in this performance work statement (PWS). Generally, this shall include assisting USACE in evaluating the existing debt structure of borrowers; drafting, reviewing, and negotiating the legal terms and conditions in the credit agreements and other loan documentation for Federal credit assistance; and providing post-closing legal support services as needed. The Contractor shall also assist USACE in providing other legal support to the CWIFP as needed to support the effective underwriting and servicing of CWIFP loans. See the attached SF1449 and support attachments for additional information.� Amendment 001 is to provide Answers to Questions and extend the due date/time to Tuesday 23 April 2024 at 430PM EDT. See the revised Solicitation, the Answers and the revised Price Template for additional information. Answers to ethics/conflict of interest questions are pending and will be answered via another Amendment to this solicitation. Amendment 002 is to provide the attachment for the Answers to the Questions which was inadvertently omitted in Amendment 001.�
