Attachment 7: Request for Sole Source Justification >SAT VHAPG Part 806.3 OFOC Page 1 of 4 Revision: 01 Effective Date: 04/01/23 DEPARTMENT OF VETERANS AFFAIRS Justification and Approval (J&A) For Other Than Full and Open Competition (>SAT) Acquisition Plan Action ID: 36C259-24-AP-0014 JOFOC Tracking # FY24-NCO19-208 Contracting Activity: Department of Veterans Affairs, Network Contracting Office 19, 6162 S. Willow Dr. STE 300, Greenwood Village, CO 80111 Organizational Activity: Department of Veterans Affairs, Muskogee VA Medical Center, 1011 Honor Heights Dr., Muskogee, OK 74401 2237 #: 623-24-1-029-0002 Nature and/or Description of the Action Being Processed: The purpose of this procurement is to execute a new base year, with two (2) option years, firm, fixed-price contract to continue the lease of Olympus America scopes for the Muskogee Veterans Affairs Medical Center s (VAMC) Endoscopy Department. Description of Supplies/Services Required to Meet the Agency s Needs: The estimated value of the proposed action is $658,949.76 ($219,649.92 Base Year + $439,299.84 Four Option Years) This procurement will be for a long-term lease of Olympus (GI) scopes, supporting equipment, and software to perform medical evaluations and various surgeries such as endoscopy procedures. This equipment is also used for screening procedures, pre-operative diagnostic purposes and post-operative care and evaluation for Veterans. The procured scopes, supporting equipment, and software must be compatible with the Olympus systems already owned by the Muskogee VAMC. The primary user of Olympus scopes at the facility is the Endoscopy Department. Statutory Authority Permitting Other than Full and Open Competition: (X) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per 41 USC §3304(a)(1) as implemented by FAR 6.302-1; ( ) (2) Unusual and Compelling Urgency per 41 USC §3304(a)(2) as implemented by FAR 6.302-2; ( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per 41 USC §3304(a)(3) as implemented by FAR 6.302-3; ( ) (4) International Agreement per 41 USC §3304(a)(4) as implemented by FAR 6.302-4 ( ) (5) Authorized or Required by Statute per 41 USC §3304(a)(5) as implemented by FAR 6.302-5; ( ) (6) National Security per 41 USC §3304(a)(6) as implemented by FAR 6.302-6; ( ) (7) Public Interest per 41 USC §3304(a)(7) as implemented by FAR 6.302-7; Demonstration that the Contractor s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): The Muskogee VAMC currently owns Olympus engines, scopes, software, and supporting equipment. Olympus scopes are the only scopes compatible with the Olympus equipment owned by the VAMC. The cost to replace the engines, software and supporting equipment would not be in the government s best interest. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: Although there is one established SDVOSB distributor, Alliant Enterprises, for Olympus products the distributor does not provide any of the initial and ongoing services needed in this requirement for the endoscopes. Alliant is not currently authorized by Olympus to manage leases on Olympus products. Only Olympus America, Inc. can provide for this specific requirement for the lease and maintenance and support services for endoscopic equipment. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: The requirement is to be awarded as open market versus FSS. The FSS contract includes Termination Ceiling Charges and other indemnification clauses which are not able to be funded up front due to budget constraints. The Open Market requirement is at a lower cost across five years than the FSS contract.  Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: A VIP search utilizing keyword endoscopes yielded one VOSB (Transom Scopes) and three SDVOSB vendors (L1 Enterprises, Mission Complete, and Alliant). Only one of the vendors, Alliant Enterprises, is an authorized distributor for Olympus products. A DSBS search was conducted utilizing keyword endoscopes and NAICS 339112, which yielded ten (10) results. Of the small businesses that can sell endoscopes and colonoscopes, none are Olympus authorized distributors. A search of SCMC was conducted utilizing keyword endoscopes which did not yield any contracts on the NAC or SAC. Olympus s contract (36F79721D0168) is the only contract that can meet the station s requirement. A GSA eLibrary search was conducted to verify Olympus s contract, which is active until December 31st, 2026. A review other manufacturer s equipment shows it could not be economically updated or changed to work with the proprietary software or the unique attachment points of the currently owned Olympus equipment. Any Other Facts Supporting the Use of Other than Full and Open Competition: Nothing further to support the justification. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition: Olympus America, Inc. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: Unless the station is willing to investigate a full exchange of engines, scopes, software, and supporting equipment outside of Olympus there will be a continued need for Olympus products in order to maintain compatibility with the established system.
