- FAR13.501.(a)(2)(ii) authorizes that Justifications and approvals can be signed by the advocate for competition for the procuring activity for sole-source (including brand-name) acquisitions or portions of an acquisition requiring brand-name for a proposed contract exceeding $700,000, but not exceeding $13.5 million. USAID/Ethiopia would like to hire a series of inter-related organizational development services to include design and facilitation of both Mission-wide and team-centric events and activities; data collection and analysis of leadership values, behaviors, and goals; and individual, team, and executive coaching services. The Mission seeks services which, delivered periodically, will achieve the following objectives: • Enhance USAID/Ethiopia's organizational culture, orienting new staff into the mission's values and behavioral expectations, while encouraging ongoing organizational development; • Increase staff effectiveness through deeper personal awareness of individual behaviors, and shared understanding of interpersonal and team dynamics; • Strengthen leadership behaviors, skills and approaches of all staff, to exemplify USAID/Ethiopia's desire to develop a "Mission of Leaders." This includes, but is not limited to, the development of supervisory skills; • Support continuous Mission-wide strategic planning, communication, and operational improvement efforts; and, • Boost staff morale and cohesion through informal, off-site interaction. The reasons for selecting Time-and-Materials include: 1. This is a new requirement that will be acquired using simplified procedures under FAR 13.5. While the mission know its basic needs, it is not possible at this time of placing the contract to estimate accurately the extent or duration of the work or to anticipate costs with any reasonable degree of confidence. A review of the potential acquisition alternatives was done, taking into consideration previous acquisitions of a similar item or service, the impact of prior acquisitions on these alternatives, and related in-house efforts, which indicated that the best acquisition method was a Time-and-Material contract. 2. The USAID/Ethiopia mission has explored various contracting mechanisms from most favorable to least favorable. A firm, fixed-price contract cannot be used because there is no basis for firm pricing due to a number of factors, making a cost-type contract necessary. In this case, while USAID/Ethiopia might be able to define its requirements sufficiently to allow for a fixed-price contract, those requirement involve uncertainties of such a magnitude that would not permit costs to be estimated with sufficient accuracy to use any type of fixed-price contract. Using Time-and-material contract, we will be able to fix the daily rates of all labor categories. 3. A time-and-materials contract provides for acquiring supplies or services on the basis of, 1) Direct labor hours at specified fixed hourly/daily rates that include wages, overhead, general and administrative expenses, and profit; and 2) Actual cost for materials. Though it is not possible at the time of placing the contract to estimate accurately the extent or duration of the work or to anticipate costs with any reasonable degree of confidence, the mission will be able to specify fixed hourly/daily labor rates with estimated number of days to be worked by each labor category. Materials, which include Travel and other direct miscellaneous expenses will be reimbursed to the contractor on actual costs incurred.
