- U.S. DEPARTMENT OF ENERGY OFFICE OF ELECTRICITY DELIVERY AND ENERGY RELIABILITY SPECIAL NOTICE -- REQUEST FOR INFORMATION BACKGROUND INFORMATION Pursuant to Section 1222 of the Energy Policy Act of 2005 (42 U.S.C. 16421), the Secretary of Energy, acting through the Southwestern Power Administration (Southwestern) or the Western Area Power Administration (Western), has the authority to design, develop, construct, operate, own, or participate with other entities in designing, developing, constructing, operating, maintaining, or owning two types of projects: (1) Electric power transmission facilities and related facilities needed to upgrade existing transmission facilities owned by Southwestern or Western (42 U.S.C 16421(a)), or (2) New electric power transmission facilities and related facilities located within any State in which Southwestern or Western operates (42 U.S.C. 16421(b)). In carrying out either type of proposed project, the Secretary may accept and use funds contributed by another entity for the purpose of executing the proposed project (42 U.S.C 16421(c)). The purpose of the program is to reduce electric transmissi on congestion and/or increase electric transmission capacity. The Department of Energy?s (DOE) Section 1222 Program is administered by the Office of Electricity Delivery and Energy Reliability (OE). On June 10, 2010 Federal Register Notice 75 Fed. Reg. 32940 was published requesting proposals for projects pursuant to DOE?s authority under Section 1222 of the Energy Policy Act of 2005 (42 U.S.C. ? 16421) (Section 1222). In response to the Federal Register notice Clean Line Energy Partners LLC, on behalf of its subsidiaries Plains and Eastern Clean Line LLC and Plains and Eastern Oklahoma LLC, (collectively, Clean Line) submitted a proposal to the Department of Energy (DOE) and its Southwestern Power Administration (collectively, DOE). PURPOSE and OBJECTIVES DOE requires specialized transactional legal advice and services from a Contractor to assist DOE in evaluating the proposal response to determine if it is a qualifying project that meets the objectives of Section 1222. The resulting contract will provide support to assist DOE review of the application and draft transaction documents. The Department of Energy (DOE) is seeking a small business firm with experience and expertise in the following practice areas: corporate; debt financings, including construction, secured project finance and/or corporate finance; equity finance; project development; public-private partnerships; contracts, including contracts specific to transmission projects such as power purchase agreements, transmission service agreements. Appurtenant to this, available expertise regarding engineering, procurement and construction contracts; bankruptcy involving energy-related insolvencies; real estate and land use, including multi-state, high-voltage electric transmission infrastructure siting; mortgages and lending; energy law, focusing on multi-state high voltage electric transmission infrastructure projects; environmental law is desirable. Demonstrated experience or a practice group familiar with Government procurement, including procurements under the Federal Acquisition Regulations and othe r federal-specific contract terms and concepts (such as ?Buy American? provisions, prohibition on binding arbitration, etc.); federal fiscal law; including the Anti-Deficiency Act; and employment and labor, including the Davis-Bacon Act and project labor agreements. A Draft Statement of Work and Position Qualifications are attached to this Sources Sought Notification. The Statement of Work will require various levels of legal experience. Years of experience shall be based on the date of admission to a first state bar. CAPABILITY STATEMENT Interested parties may submit a capability statement that should contain sufficient detail to demonstrate the firm?s legal, technical, professional, and administrative knowledge and skills, necessary to provide the services and personnel resources required by the Draft Statement of Work and Position Descriptions. The capability statement shall provide the following specific information: A.Company name, address, DUNS number, point of contact, phone numbers, and email address; B.A list of any companies anticipated to be used as either joint venture partnerships or subcontractors. Joint venture partners and subcontractors names, address, DUNS number, point of contact, phone numbers, and email address of team members; Synopsis of proposed strategy for the relationship; C.Company?s past experience (within the last five years) of contracts/projects performed for the Federal Government or other entities of a similar size, scope, and complexity as contained in the draft PWS, include the following: oContract or project number oCustomer point of contact (name, address, email address, and phone number), and oThe dollar value of the project oA brief description of the project?s scope, size and complexity and its relevance to the draft PWS. oIdentify the company?s role, as either a prime or subcontractor oDetail the specific tasks performed by the company D.Information on the company?s capability and capacity to perform type of services, objectives and task outlined in the Draft Statement of Work. E.The page limit for Capability Statement shall not exceed 5pages. SUBMISSION INSTRUCTIONS The DOE Office of Headquarters Procurement Services (MA-64) employs a secure, web-enabled acquisition and financial assistance system, which is known as the Strategic Integrated Procurement Enterprise System (STRIPES). Capability Statements shall be submitted through STRIPES. In order to use STRIPES; all current and potential awardees must be registered with Compusearch's FedConnect portal, which can be located at https://www.fedconnect.net/. Updates, additional information, and changes or amendments to this Sources Sought will only be posted at the FedConnect website. All responses under this Sources Sought Notice must be submitted via Fedconnect. Capability statements are not proposals. Submission of a capability statement will not lead to the selection or award of a contract as the purpose of this notice (and capability statements) is to only ascertain whether a small business set aside is feasible for DOE's Section 1222 Program requirement. Telephone inquiries will not be accepted or acknowledged, and no feedback or evaluations will be provided to companies regarding their submissions. Interested parties who consider themselves qualified to perform the above-listed services are invited to submit a response to this Notice by June 8, 2015 no later than 12:00 Noon EST. Any proprietary information should be so marked. The capability statement shall identify the business status of the organization. Questions regarding this Notice must be submitted NO LATER THAN 12:00 P.M. EST ON June 3, 2015 via FedConnect. The Government?s responses to the questions will be released on June 5, 2015 NO LATER THAN 12:00pm EST.
