RFI Vendor Questions Morocco II Industrial Land Project Due Diligence Support RFI SOW Morocco II Industrial Land Project Due Diligence Support RFI Description MCC Morocco II Industrial Land Project Due Diligence Support REQUEST FOR INFORMATION MCC-15-RFI-0017 MCC MOROCCO II - INDUSTRIAL LAND PROJECT DUE DILIGENCE SUPPORT DESCRIPTION THIS IS A REQUEST FOR INFORMATION ONLY. The Millennium Challenge Corporation (MCC) is seeking information from interested firms for an extremely time sensitive, integrated and technically specific project in Morocco. MCC is issuing this request for information to ascertain whether there are qualified businesses positioned to perform this scope of work at the highest level of technical expertise and within the required time frame. A firm is sought to provide expert skills to MCC for the due diligence of industrial land components of a land project as part of Morocco's second MCC Compact. The firm will serve as an advisor to MCC providing due diligence and due diligence recommendations on the GOM's land sector proposal. This is NOT a solicitation or pre-solicitation and this notice does not guarantee that a solicitation will be posted in the future or as an obligation on the part of the MCC. At this time, no solicitation exists; therefore, please do not request a copy of the solicitation. BACKGROUND The Millennium Challenge Corporation ("MCC") is a U.S. government corporation whose mission is to reduce poverty through economic growth in countries that are committed to good governance, economic freedom, and investments in people. MCC provides large grants to qualified, selected countries in the form of Compacts, which are pre-designed to fund specific projects addressing key constraints to economic growth in the country. Once a second Compact with Morocco enters into force - expected during 2016 - the GOM entity accountable for Compact implementation will use MCC Compact funds to procure the consulting services necessary to execute each of the Compact projects. MCC procures due diligence contractors, both firms and individuals, to provide support to MCC during the Compact Development process. The role of these contractors is to provide analysis and recommendations to MCC throughout the process of project design and due diligence. Doing this work requires substantial engagement with the Government of Morocco and other Moroccan stakeholders throughout the assignment. However, all work will be under the direction of MCC; and the contractor will serve as an advisor to MCC, not an advisor to the GOM. These requirements are for procuring due diligence consulting services related to the industrial land elements of the proposed land project. Other MCC contractors may be providing design recommendation and due diligence support on the rural elements of the proposed project; for this reason these requirements focus exclusively on services needed for the industrial land portions of the proposed project. OBJECTIVE The objective of this Request for Information (RFI) is to receive prospective contractors' capabilities to provide professional services for "Improving Land Governance for Increased Productivity in Morocco". The proposed project contains two activities: 1) Improving Land Governance, and 2) Increasing Land Productivity. The Land Governance Activity will target land governance across the sector (rural, peri-urban, urban, and industrial). The Land Productivity Activity is proposed to have an industrial component and a rural component. The Productivity Activity would target the creation and testing of models to increase the productivity of land in Morocco. In the industrial sphere, the goal would be to better align the supply of industrial land with the demand for it. Potential offerors should demonstrate understanding requirements: • Review attached RFI Statement of Work and RFI Questions. • Indicate contract vehicles that may contribute to the expeditious procurement of these MCC industrial land elements services; such as, GSA Mission Oriented Business Integrated Services (MOBIS) or Financial and Business Solutions (FABS). • Note: Offerors on this MCC requirement are advised that the firm awarded a contract by MCC for these due diligence services will also be eligible to bid on subsequent procurements by the eventual GOM entity responsible for actual implementation of Compact projects using MCC funds. For avoidance of conflicts associated with future GOM procurements, offerors are advised that MCC will make available copies of certain of the deliverables under this contract to the GOM entity responsible for implementation of the second Compact, for the GOM to then distribute as appropriate to provide relevant background information to all interested bidders on future related procurements. The proposed project contains two activities: 1) Improving Land Governance, and 2) Increasing Land Productivity. The Land Governance Activity will target land governance across the sector (rural, peri-urban, urban, and industrial). The Land Productivity Activity is proposed to have an industrial component and a rural component. 1) Activity 1: Land Governance - Legal, Regulatory and Institutional Enabling Environment ( see attached draft SOW ). 2) Activity 2: Increasing Land Productivity ( see attached draft SOW ). PARAMETERS FOR MCC FUNDING OF INDUSTRIAL LAND INTERVENTIONS Several groups of parameters are expected to guide decisions about MCC funding of interventions related to industrial land. PARAMETERS - MCC INVESTMENT CRITERIA MCC funds are grants. MCC funding for any project within a Compact is expected to meet the following criteria: • Link to constraints to growth: Clear program logic that links each project to a constraint on economic growth. • Significant economic returns: Each project proposed for funding to MCC should have an economic rate of return of at least 10%. • Achievable: Compact projects must be able to be completed within five years; must be technically feasible and able to be managed by the partner government. • Consideration of policy and institutional issues: Project proposals should consider the impact public policies and institutions have on the project and its sustainability. • Address environmental, social, and gender concerns: Adherence to MCC's Environmental Guidelines which require projects to be implemented in a manner consistent with International Finance Corporation's Performance Standards on Environmental and Social Sustainability (IFC Performance Standards) and MCC's Gender Policy. • Sustainability: The benefits from MCC compacts should endure well beyond the five year implementation period. • Beneficiaries and evaluability: Explanation of how the project will measurably impact specific beneficiaries, particularly poor households; also must be able to be evaluated. • Role of private sector: Project proposals should be informed by and promote the private sector. PARAMETERS - MCC SECOND COMPACTS Additionally, MCC Second Compacts, such as is being developed for Morocco, are expected to be transformative in addressing economic constraints; to promote important legal, policy and institutional change; and to leverage significant participation of the private sector. In this way, MCC has encouraged the Government of Morocco to consider innovative ideas that can respond to these objectives in a way that will support implementation of the GOM's new 2014-2020 industrial strategy. PARAMETERS - ILLUSTRATIVE INDUSTRIAL LAND PROJECT COMPONENTS The following is a list of illustrative activities that, subject to MCC's due diligence work, could potentially be funded by MCC. As such, the contractor's proposed technical approach and key personnel shall - as part of meeting the qualifications listed later in this document - have the skills and experience to assess and provide due diligence to the types of activities listed throughout this document and the RFI Draft SOW document. Illustrative policy and institutional activities: • Support costs of policy, legal and regulatory reviews and development of recommendations for necessary reforms. • Support costs of assessing incentive frameworks, including tax and subsidy tools, and proposing and executing appropriate adjustments. • Support costs associated with land use planning, as may be necessary for regions or zones to be targeted by industrial land activities, including integration of environmental management issues with economic and spatial planning. • Develop models to revitalize or convert existing industrial areas to other more productive uses, leveraging private capital. • Identify models and approaches for industries with improved resource productivity and environmental performance (greening industries); identify incentives to create an attractive proposition for green industries. • Transaction advisory service, partnering advisory services and financial packaging advisory support to test new, more demand-oriented industrial land development and regulation models in multiple industrial areas. • Produce market demand studies, business plans, feasibility studies, and other tools for identifying land areas with high industrial development and industrial productivity potential. Illustrative activities to facilitate the successful development of industrial areas: • Finance mechanisms (e.g. fund, facility, challenge/matching grants, land pool or other long-term instrument) to leverage private sector and government investment in new or rehabilitated infrastructure or other needs. • Further refine zone management models and financing arrangements for shared services, including as an opportunity to improve enterprises' efficiency, cleaner production, and environmental performance. • Establish a new industrial land use information system, accessible by Government and private sector stakeholders. • Cover costs of marketing zone opportunities to potential investors or industrial tenants. • Establishment of a market support unit within the Ministry or other institution responsible for economic analyses and modeling that can provide Government and the private sector with analyses of costs and benefits in growth, GDP, poverty reduction, environmental impact, and other indicators to inform planning and decision-making. KEY PERSONNEL MCC may be flexible on distribution of skills/experience among the various team members, offerors shall provide evidence that the combination of all team members meets the "total team" qualifications. See Attached copy of RFI / SOW -PERIOD OF PERFORMANCE This task order/call order will be for a period of twelve months. Actual level of effort (LOE) of the various experts may shift during the course of the assignment. For this reason, offerors shall make available sufficient LOE per expert as may be needed as the design of the industrial land activity evolves. SUBMITTAL INFORMATION Respondents are requested to provide, as part of their responses: (a) current capability and capacity to perform the work,, (b) corporate experience and management capabilities, including a statement of the firm's professional approach to due diligencing investments, projects, and legal reforms and incentive frameworks related to industrial land and industrial/commercial real estate, (c) published materials such as project documents or descriptions, reviews of the work completed by the firm and its consultant experts, journal articles or other reviews attesting to the firm's specialization in Land Governance - Legal, Regulatory and Institutional Enabling Environment and Increasing Land Productivity, as relates to industrial land and industrial productivity (see attached draft SOW); (d) CV of the proposed team leader indicating areas of required expertise; (e) CVs of at least four identified team members reflecting the necessary specializations and description of prior engagement with the firm and/or engagement on the relevant subject matters, in particular for the industrial land/real estate topics listed in the Key Personnel qualifications. Respondents are also requested to answer the attached RFI Questions. Please furnish your cage code and NAICS in your response to this sources sought announcement. MCC invites all questions and comments with regards to this RFI. Please Note: This notice does not obligate the Government to award a contract or otherwise pay for the information provided in response. The Government reserves the right to use information provided by respondents for any purpose deemed necessary and legally appropriate. Any contractor responding to this notice should ensure that its response is complete and sufficiently detailed to allow the Government to determine the contractor's qualifications to perform the work. Respondents are advised that the Government is under no obligation to acknowledge receipt of the information received or provide feedback to respondents with respect to any information submitted. After a review of the responses received, a pre-solicitation synopsis and solicitation may be issued. However, responses to this notice will not be considered adequate responses to a solicitation.
