Department of Veterans Affairs Office of Research & Development Service: BLRD RNA Editing Alterations in Spinal Cord Injury Statement of Work (SOW) A.GENERAL INFORMATION 1.Title of Project: RNA Editing Alterations in Spinal Cord Injury. VA MERIT; application ID # 5I01BX002343-02; JJPVAMC # PLE-13-045; 2.Background: Spinal cord injury (SCI) is often followed by the development of debilitating spasms in the muscles innervated from the spinal cord below the site of injury. More than 80% of individuals with SCI have spasms and spasticity that significantly disrupt residual motor function, cause debilitating pain, and interrupt sleep. Treatment of spasms with conventional antispastic drugs (e.g., baclofen) is often not adequate, or not tolerated because of adverse side effects such as lethargy and weakness. This project aims to elucidate the biological basis of spasticity and will suggest possible targets for the development of novel antispastic drug therapy. The project employs a rat-model of chronic tail spasticity, which was developed by Dr. David Bennett (University of Alberta, Canada). Generation of this model requires unique surgical and electrophysiological expertise. In addition to Dr. Bennett's laboratory, only several other laboratories in the world (all situated in Canada or Europe) have this expertise. No laboratory in the U. S. is currently generating chronic tail spasticity rats. 3.Scope of Work: Two types of specimens-each containing 35 rats with complete spinal cord transection/injury (SCI) and 35 control rats-will be provided. The first type will be obtained from 70 animals (40 and 30 animals in Year 1 and Year 3, respectively), which will be sacrificed 6 weeks after SCI. The second set will be obtained from 70 animals (40 and 30 animals in Year 1 and Year 3, respectively), which will be sacrificed 6 months after SCI. The cost of generating these preparations includes animal purchase and labor cost associated with surgeries, testing and maintenance (including maintenance of the SCI animals, which requires special skills and every-day care, including on weekends). 4.Period of Performance: The period of performance (POP) shall be 4 years. Estimate Base Year: 09/01/2014 - 08/31/2015 Option Year 1:09/01/2015 - 08/31/2016 Option Year 2:09/01/2016 - 08/31/2017 Option Year 3:09/01/2017 - 08/31/2018 5.Type of Contract: Firm Fixed Price B.GENERAL REQUIREMENTS The laboratory shall generate two types of specimens-each containing 35 rats with complete SCI and 35 control rats. The first type will be obtained from 70 animals, which will be sacrificed 6 weeks after SCI. The second set will be obtained from 70 animals, which will be sacrificed 6 months after SCI. The laboratory must have an appropriate animal facility, and the personnel, equipment, material, and supplies that are necessary to perform the study. C.SPECIFIC MANDATORY TASKS AND ASSOCIATED DELIVERABLES Task 1: Regular Communication/Meetings and Recording Decisions The contractor will have an initial telephone conference within 2 weeks of the contract award to discuss and review the activities of the contract. Topics will include the overall project management plan and schedule. The contractor will communicate monthly with the VA PI by scheduled telephone conferences to brief her as to the status of the project, description of any problems anticipated or encountered and their resolution or non-resolution. Deliverable - Participate in monthly telephone conferences with VA Principal Investigator. Task 2: Project Plan and Procedures The contractor will develop an initial project plan that will describe the schedule of animal surgeries, euthanasia, and delivery of specimens to the VA. Any recommendations for changes in the approved procedures will be submitted to the VA PI and will be incorporated into the project plans only with the written approval of the VA. Deliverable - Develop a project plan and procedures and update to within 15 months of contract award. Task 4: Quality Assurance The contractor will develop a quality control plan to be performed under this contract. The quality control plan will include a detailed log of surgeries and maintenance history of the animals, which will be reviewed by the VA PI upon the delivery of each batch of the spinal cord specimens. Deliverable - Develop a quality control plan and update to within 15 months of contract award D.SCHEDULE OF DELIVERABLES: Specimens will be delivered on September 2014, February 2016, September 2017, September February 2018. (estimate) E. INSPECTION AND ACCEPTANCE CRITERIA Final acceptance of all work performed, reports and deliverables will be performed by the VA PI and will occur after experimental part of the project is competed (approximately in August 2018). F. CHANGES TO STATEMENT OF WORK Any changes to this SOW shall be authorized and approved only through written correspondence from the VA PI and/or Contracting Officer. A copy of each change will be kept in a project folder along with all other products of the project. G. GOVERNMENT RESPONSIBILITIES The government shall assure that the contractor has access to VA toll-free telephone numbers for telephone conferences as appropriate. H. KEY PERSONNEL 1. Substitution of Key Personnel: All Contractor's requests for approval of substitutions hereunder shall be submitted in writing to the COR/Contracting Officer at least thirty (30) calendar days in advance of the effective date, whenever possible, and shall provide a detailed explanation of the circumstances necessitating the proposed substitution, a complete resume for the proposed substitute, and any other information requested by the CO necessary to approve or disapprove the proposed substitution. New personnel shall not commence work until all necessary requirements, as defined in Section J, have been fulfilled and resumes provided and accepted. I.PERSONNEL QUALIFICATIONS: a.All personnel must complete the required VA training and provide the certificates. J. SECTION 508 The contractor shall comply with Section 508 of the Rehabilitation Act (29 U.S.C. § 794d), as amended by the Workforce Investment Act of 1998 (P.L. 105-220), August 7, 1998. K. CONFIDENTIALITY AND NONDISCLOSURE It is agreed that: 1. The preliminary and final deliverables and all associated working papers, and other materials deemed relevant by the VA which have been generated by the contractor in the performance of this task order are the exclusive property of the U.S. Government and shall be submitted to the CO at the conclusion of the task order. 2. The CO will be the sole authorized official to release verbally or in writing, any data, the draft deliverables, the final deliverables, or any other written or printed materials pertaining to this task order. No information shall be released by the contractor. Any request for information relating to this task order presented to the contractor shall be submitted in writing to the CO for response. 3. Press releases, or any other printed or electronic documentation related to this project, shall not be publicized without the written approval of the CO. L. RIGHTS IN DATA Contractor and/or contractor personnel shall not divulge or release data or information developed or obtained in performance of this effort, until made public by the Government, except to authorize Government personnel or upon written approval of the Contracting Officer (CO). The contractor shall not use, disclose, or reproduce proprietary data that bears a restrictive legend, other than as required in the performance of this effort. Nothing herein shall preclude the use of any data independently acquired by the contractor without such limitations or prohibit an agreement at no cost to the Government between the contractor and the data owner which provides for greater rights to the contractor. The Department of Veterans Affairs shall have unlimited rights to and ownership of all deliverables provided under this effort, including reports, recommendations, briefings, work plans and all other deliverables. This includes the deliverables provided under the basic award as well as and any optional task deliverables that are exercised by the Contracting Officer. The definition of "unlimited rights" is contained in Federal Acquisition Regulation (FAR) 27.401, Definitions. M. TASK ORDER TERMINATION VA has the right to terminate (in whole or in part) this task order at any time in accordance with the termination clauses of the governing GSA Schedule Contract. The Contractor will be paid only for the services rendered up to the point of receiving the termination notice, and then only to the extent that those services meet the requirements of this SOW. N. CONTRACT ADMINISTRATION: Notwithstanding the Contractor's responsibility for total management during the performance of this contract, the administration of the contract will require maximum coordination between the Government and the Contractor. The following individuals will be the Government's points of contact during the performance of this contract: ?
