- Attachment 2: Request for Sole Source Memo Format DEPARTMENT OF VETERANS AFFAIRS Justification and Approval For Other Than Full and Open Competition 1.Contracting Activity: Department of Veterans Affairs, VISN 11, Detroit Medical Center Contracting Agency: Data Sciences International, 119 14th Street NW, St. Paul, MN 55112 USA. Justification for other than full and open competition: DSI is the only company within the USA that provides this type of equipment and supplies for rodent telemetry combing respiratory monitoring using previously purchased equipment (Buxco) and simultaneously monitoring EEG, EMG, and ECG. Purchase request number: 553-14-4-402-0277 2.Nature and/or Description of the Action Being Processed: This is a new, firm fixed price PO for new telemetry system added to existing respiratory whole body system purchased three years ago in collaboration with co- as part of the animal aim in the CDA-2 grant. The respiratory system was purchased from another company (Buxco) which was recently acquired by Data Sciences International. 3.Description of Supplies/Services Required to Meet the Agency's Needs: This telemetry equipment and all other supplies included in the purchase quote, including transmitters, computers, receivers and analysis software costs $49686.75. Delivery is anticipated to be within 4 weeks after the issuance of a PO. We hope that the actual delivery will be no later than July 30, 2014. 4.Statutory Authority Permitting Other than Full and Open Competition: (X) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per FAR 6.302-1; ( ) (2) Unusual and Compelling Urgency per FAR 6.302-2; ( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per FAR 6.302-3; ( ) (4) International Agreement per FAR 6.302-4 ( ) (5) Authorized or Required by Statute FAR 6.302-5; ( ) (6) National Security per FAR 6.302-6; ( ) (7) Public Interest per FAR 6.302-7; 5.Demonstration that the Contractor's Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): a. Only One Responsible Source The DSI wireless telemetry system is a major system for acquisition of real time EEG activity within whole body plethysmography to measure simultaneously respiratory changes. The transmitter is implanted to each animal to measure the effect of spinal cord injury on breathing, heart (ECG) and sleep (EEG) parameters and transmit the data via radiofrequency signals to a receiver that is connected to a computer. The data will be collected and acquired for analysis using Pnemah data system. This type of experiments during wake and sleep in rat SCI models are performed by few investigators in the nation. Therefore telemetry systems are unique equipment and highly specialized. Within the US, only two companies make telemetry of EEG and ECG (DSI and Emka), however only DSI has the capacity to combine respiratory data to the telemetry data and record it simultaneously in each animal. 6.Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: Only two sources exist within the US for rodent telemetry (DSI and Emka). The Emka telemetry and data acquisition do not interface with Buxco respiratory system and would impair our ability to measure breathing and sleep simultaneously and require s to have two separate systems and duplication of cost. 7.Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable: The anticipated cost will be fair market value. In fact the final contract price offered by DSI offered significant university/government discount and lowered the total cost to $49,686.75 from $72,480.00. Additionally, similar items were purchased from DSI last year (PO 553A30181) for $38,125.00. However, the previous order only included eighteen items as opposed to the current order of 31 items. 8.Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: As stated above only two companies in the US provide this type of telemetry EEG and ECG. DSI is the only one that has respiratory measurements added simultaneously. 9.Any Other Facts Supporting the Use of Other than Full and Open Competition: 10.Listing of Sources that Expressed, in Writing, an Interest in the Acquisition See section 6 11.A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: At this time no actions are planned to remove barriers to competition that have been identified in the justification. There are few investigators that measure respiratory, cardiovascular and sleep parameters in SCI rat models using one telemetry and acquisition system. Due to low volume of equipment and limited market it is not anticipated that new competitors will compete with DSI in near future, especially after they acquired another company (Buxco) that measure respiratory parameters.
