DEPARTMENT OF VETERANS AFFAIRS Justification and Approval For Other Than Full and Open Competition 1.Contracting Activity: Department of Veterans Affairs, VISN 23 VA Black Hills HCS Fort Meade Campus 113 Comanche Rd. Fort Meade, SD 57741 This is a Justification for Other Than Full and Open Competition. 2237- 618-14-1-4008-0111 2.Nature and/or Description of the Action Being Processed: The Department of Veterans Affairs proposes to issue a new firm-fixed price contract to Leica Microsystems, 1700 Leider Lane, Buffalo Grove, IL 60089 (DUNS: 115978041) for the procurement of service and maintenance agreements on Laboratory owned equipment. 3.Description of Supplies/Services Required to Meet the Agency's Needs: The proposed acquisition is for Silver Service Package Full-Service Maintenance Agreements for the following equipment located at the Minneapolis VAMC: LEICA Bond-maX Processing Module, SN: M210805; LEICA Bond- III Processing Module, SN: 3210830; the LEICA Bond- III Processing Module, SN: 3211059. The Agreement covers: all parts, labor and travel throughout the contract period including one complete PM (Preventive Maintenance) visit in which the instruments are cleaned, calibrated, lubricated, etc to bring them up to factory specifications. Contract Period of Performance: 6/1/2014-5/30/2015 (with two, one-year option periods) 4.Statutory Authority Permitting Other than Full and Open Competition: (X) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per FAR 6.302-1; ( ) (2) Unusual and Compelling Urgency per FAR 6.302-2; ( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per FAR 6.302-3; ( ) (4) International Agreement per FAR 6.302-4 ( ) (5) Authorized or Required by Statute FAR 6.302-5; ( ) (6) National Security per FAR 6.302-6; ( ) (7) Public Interest per FAR 6.302-7; 5.Demonstration that the Contractor's Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): The Minneapolis VAMC currently owns and utilizes Leica fully automated IHC and ISH stainers in its laboratory. Leica Microsystems is the sole source provider for service and support for these strainers' proprietary elements. This service and maintenance contract is for services proprietary to the manufacturer. Leica Microsystems, the manufacturer, is the only vendor authorized to provide service, upgrades and software updates on this equipment. The software is proprietary. 6.Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: No other service providers were found (see paragraph five (5) above). A notice of intent to sole source to Leica Microsystems will be posted for this requirement in accordance with FAR 5.101(a)(1). 7.Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable: Pricing will be compared to pricing on previously contracted services that were found fair and reasonable on previous purchases and open market pricing. 8.Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: Market research was performed to comply with Federal Acquisition Regulations and to ensure that the VA received the best value for this procurement. The Government conducted a search for other authorized service providers on GSA. 9.Any Other Facts Supporting the Use of Other than Full and Open Competition: None. A previous sole source Contract was awarded to Leica Microsystems for Silver Service Package Full-Service Maintenance Agreements under VA263-12-P-0033 on October 11, 2011. 10.Listing of Sources that Expressed, in Writing, an Interest in the Acquisition: See Section VI above. 11.A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: Market research was conducted, the details of which are in the market research section of this document. None of these efforts yielded additional sources capable of completing the Government's requirements. There is no competition anticipated for the proposed action. The Government will continue to conduct market research to ascertain if there are changes in the marketplace that would enable future actions to be competed.
