Description
This notice is for market research and planning purpose only and does not obligate the Government to any contractual agreement. This is not a request for proposal. The Government does not intend to award a contract on the basis of responses, nor otherwise pay for the preparation of any information submitted, nor will respondents be notified of the review of the information received. The information obtained from this Request for Information (RFI) will be utilized as market research for consideration in development of the Acquisition Strategy and Acquisition Plan for this requirement. The Government will not reimburse interested sources for any costs incurred in preparation of a response to this notice. Information provided herein is subject to change and in no way binds the Government to solicit for or award a contract. Information databases that provide information regarding mergers and acquisitions are critical tools for the Department, and Industry & Analysis/Office of Trade and Economic Analysis Committee on Foreign Investment in the United States ("CFIUS") team in particular, in evaluating proposed acquisitions of U.S. business by foreign persons. Commerce has a statutory responsibility to review such transactions for national security purposes, pursuant to Section 721 of Title VII of the Defense Production Act of 1950, as amended, 50 U.S.C. App. 2170, and the associated implementing regulations, 31 C.F.R. Part 800. Executive Order 13456, which sets out the CFIUS requirements, mandates: "Sec. 9. Duties of the Secretary of Commerce. The Secretary of Commerce shall: (a) obtain, consolidate, and analyze information on foreign investment in the United States; (b) monitor and, where necessary, improve procedures for the collection and dissemination of information on foreign investment in the United States; (c) prepare for the public, the President or heads of departments or agencies, as appropriate, reports, analyses of trends, and analyses of significant developments in appropriate categories of foreign investment in the United States; and (d) compile and evaluate data on significant transactions involving foreign investment in the United States." For the past several years the CFIUS team has been providing searches for Treasury and the Bureau of Industry and Security for critical technologies lists as well as to capture transactions that have implications on national security but have not been filed with CFIUS. The CFIUS team at the Department has also provided searches to Treasury for the Annual Report to Congress. These searches cannot be accomplished without a database that has record of the mergers and acquisitions that take place globally. The CFIUS team expects to gain access to a database that provides comprehensive fundamental and quantitative research and analysis on industry transactions and mergers and acquisitions. Primarily, the database shall be used on a daily basis to inform the CFIUS team and Commerce policy makers on the business rationale and details of specific deals under review by CFIUS. This information will be shared with the 14 agencies involved in the CFIUS decision-making process as well as the Chair Agency, the Department of Treasury. A second purpose of the database will be to screen all reported mergers and acquisitions to ensure that all transactions that should be reviewed by CFIUS are being reported to CFIUS by the parties to the transaction. To accomplish this, Commerce will work with Treasury to use their respective databases to screen reported mergers and acquisitions. Each database reports a slightly different set of mergers and acquisitions; consequently, in order to ensure the fullest coverage, Commerce should use a database different than that used by Treasury or the other CFIUS agencies. The Department expects to accomplish daily mergers and acquisitions research for the CFIUS team, as well as the Bureau of Industry and Security and the CFIUS Chair agency, the Treasury Department. TASKS: The contractor must provide a searchable database of known mergers and acquisitions, private and public, of all sizes taking place globally. The database must include financials of the companies, the competitors of the companies, the news regarding the relevant industry, and legal information and the outcome/posture of the transactions. The database must cover asset and equity purchases in addition to mergers and acquisitions. Additionally, the database must provide general company information, general industry information, and general trends related to mergers and acquisitions activity. The database must provide a singular, seamless solution that can be easily integrated with general office applications, including exporting data from the database to Microsoft Excel. The database must allow for customized searches, the ability to create alerts, and a chart builder function. The database must be accessible by OTEA analysts at their desk and remotely through a web interface. Customer support representatives for the database provider must be available to act as light research staff in case an OTEA analyst has questions about specific data. The contractor must deliver an information database of mergers and acquisitions taking place globally and in the United States. The contractor must deliver on a daily basis for a year as needed by the CFIUS team at the premises of the central headquarters of the Department. The access requirement is for four users. PLACE OF PERFORMANCE Department of Commerce Herbert Hoover Building 1401 Constitution Avenue, NW Washington, DC 20230 PERIOD OF PERFORMANCE Base and three (3) option years The U.S. Department of Commerce is requesting that interested contractors provide a brief capability/information statement demonstrating their ability to provide this service and provide the following information: The statement of capabilities should include: 1. Firm name, address, e-mail, telephone and fax numbers 2. Small business certification - 8(a), HubZone, Service Disabled Veteran or Women-owned. 3. Applicable contract vehicles (i.e. DOC, GSA, NASA SEWP) available for Government-wide use. 4. Past Experience - describe your experience of similar type, size and complexity to that which is the subject of this Sources Sought. 5. Provide a listing of three (3) most recent projects your firm has performed. 6. Your firms Data Universal Numbering System (DUNS) 7. System for Award Management (SAM) registered NAICS Codes. Interested parties should submit their responses in either a.doc or.pdf compatible format via email. Submissions should be no more than five (5) pages plus cover sheet.
