- This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. The purchase and removal are subject to and must be conducted in accordance with the Specific Conditions contained herein. INVITATION FOR BIDS FOR SALE OF BUILDING FOR OFFSITE REMOVAL BLUE MARSH LAKE FLOOD CONTROL PROJECT BERKS COUNTY, PENNSYLVANIA Sealed bids, subject to the conditions contained herein, will be received at the Office of the Chief, Real Estate Division, until 2:00 P.M. on 25 March 2014, at which time the bids will be publicly opened. This Invitation is issued subject to, and bids submitted pursuant to this Invitation must be in compliance with and subject to the provisions of this Invitation, and all exhibits attached to this Invitation and by this reference made a part thereof. 1. LOCATION AND DESCRIPTION A map showing the building location is attached hereto as (Exhibit quote mark A quote mark ). The building, known as the Sewage Treatment Plant, is a steel frame wood sided structure with approximately 672 sq. ft. of space and was utilized to treat effluent from the project's recreation areas. The system is composed of a conventional biological process utilizing primary clarification, two state trickling g filters, followed by secondary clarification. After conventional biological treatment, the waste water passes through a pressure sand filter, three activated carbon columns in series, is chlorinated, and discharged into a holding tank for spray irrigation. A small lab, 204 sq. ft. is also within the building. The plant has not been utilized for the past 10 years. In 2013 all materials within the clarifiers and filters were removed. The building was prefabricated and moved to the site by truck. All filters chambers/clarifiers, floors, lab furnishings, base and support beams within the building are all metal. Prospective bidders could purchase the plant for the value of scrap metal contained within the building. A rough schematic of the building is attached hereto as (Exhibit B). 2. ACCESS Access to the property is from Palisades Drive off PA State Route 183, at the Stilling Basin below the dam at Blue Marsh Lake. 3. TERMS AND CONDITIONS OF SALE a. NOTICE TO PROCEED. The successful bidder will be required, within five calendar days after notification that he/she is the high bidder, to pay to the Government the balance due. Upon receipt of the full bid amount, the high bidder will then be given a Notice to Proceed with removal of the building. b. Description Approximate. The above description of the property and the map are believed to be correct, but any error or omission in the description of the property or on the map shall not constitute any grounds or reason for nonperformance of the provisions and conditions of the contract or claim by the lessee for any refund or deduction from the bid price. c. Term. The successful bidder will have until July 1, 2014 to completely remove the building and leave the site clean of all debris. 4. ADDITIONAL TERMS AND CONDITION: This invitation for bid and any award are subject to the quote mark Specific Terms and Conditions quote mark attached hereto as Exhibit quote mark C quote mark. INSTRUCTIONS TO BIDDERS 1. BIDS SUBJECT TO THESE TERMS: All bids submitted shall be deemed to have been made with full knowledge of all the terms herein contained. Bidders are expected to inspect the property and form their own conclusions as to its suitability for their purposes. Failure to make such inspection will not constitute grounds for any claim for adjustment or for the withdrawal of the bid after the time of opening bids. A pre-bid tour of the building will be provided by the Project Manager John C. Cave (or his representative), at 10:00 A.M. the Wednesday two weeks prior to the bid opening. Prospective bidder who wants to participate in the tour must register with the project off ice at 610 376-6337. Bidders will meet at the Project's Administration Building. The Government makes no guaranty or warranty, either expressed or implied, with respect to the property. 2. BID FORMAT: Sealed bids must be executed and submitted on the bid form accompanying this invitation for bids (IFB) or on an exact copy thereof. Bidders bidding on more than one building must submit a separate bid and bid deposit for each building being bid. 3. EXECUTION OF BIDS: Each bid must give the full address of the bidder and be signed with the bidder's usual signature. Any additional sheets shall be identified with the bidder's name. A bid executed by an agent on behalf of the bidder shall be accompanied by an authenticated copy of the power of attorney or other evidence of authority. If the bidder is a corporation, the Certificate of Corporate Bidder must be executed. If the bid is signed by the secretary of the corporation, the certificate must be executed by another officer of the corporation. In lieu of the Certificate, records of the corporation which show the authority of the officer signing, and which the secretary or assistant secretary, under the corporate seal, certifies to be true copies must be attached. 4. DEPOSIT REQUIRED: No bid will be considered without a deposit approximately equal to and not less than ten (10) percent of the bid offered, to guarantee that the bidder will pay the balance of the bid amount due within five (5) days after receipt of written notice of acceptance of his bid. Such guaranty must be in the form of a money order or check, payable to the quote mark USAED, Baltimore District quote mark. The deposit of unsuccessful bidders will be returned as promptly as possible after rejection. However, in the event of default by any bidder, that bidder's deposit may be applied by the Government to any loss, cost and expense occasioned thereby, including any incurred in disposing of the property and any difference between the resale price of the building, if the latter amount is less. The bidder is liable for the full amount of damages sustained by the Government because of his default; such liability is not limited to the amount of the bidder's deposit. 5. PERFORMANCE BOND: In addition to the bid payments, the successful bidder shall, within twenty (20) calendar days after Notice of Acceptance of bid by the Government, deliver to the Real Estate Division, Baltimore District, U.S. Army Corps of Engineers, a certified check, cashier's check or bank draft payable to the order of the TREASURER OF THE UNITED STATES, in the amount of $10,000.00 in order to insure faithful performance under this contract. In lieu of the deposit of a certified check, cashier's check or bank draft, the successful bidder may furnish a performance bond with surety approved by and in a form acceptable to the contracting officer, the penal sum of such bond to be the same as provided above. U. S. Standard Form 25, available at tall surety and guaranteeing offices, may be used for this purpose. 6. MARKING AND SEALING BIDS: Each bid submitted must be sealed in an envelope. SUBMISSION OF BIDS: It will be the duty of each bidder to have the bid delivered by the time and at the place prescribed in the Invitation. Bids will be securely kept, unopened. No responsibility will attach for the premature opening of a bid not properly addressed and identified. 8. LATE BIDS, MODIFICATION OR WITHDRAWAL OF BIDS: The person whose duty it is to open the bids will decide when withdrawals of a bid will be considered. Bids may be modified or withdrawn only by written or telegraphic requests received from bidders prior to the time fixed for opening. Negligence in preparing bid confers no right to withdraw the bid after it has been opened. Bids, modifications, or withdrawals received after the time fixed for opening and before award is made will be considered if sent by registered mail not later than the 7th calendar day prior to the date specified for receipt of bids or is sent by mail (telegram if authorized) and it is determined by the Government that the late receipt was due solely to mishandling by the Government after receipt at the Government installation. 9. OPENING OF BIDS: At the time fixed for the opening, bid contents will be made public. Any information submitted in support of the bid will, upon request, be held in strict confidence by the United States, if disclosure might tend to subject the bidder to a competitive business disadvantage. 10. SALE OF BUILDING: Sale of the building will be made to the highest bidder who is responsive to this Invitation, provided that the bidder is responsible, the bid is reasonable, and it is in the interest of the United States to accept it. 11. ACCEPTANCE OF BIDS: All bids will remain open for acceptance or rejection for ten (10) days from the date of opening. Notice of award will be given as soon as practicable to the successful bidder personally, to a duly authorized representative, or in writing to the bidder at the address indicated in the bid. 12. DISPUTES: Except as otherwise provided in this Invitation, any dispute concerning a question of fact arising under this Invitation which is not disposed of by agreement shall be decided by the District Engineer who shall mail or otherwise furnish a written copy of the decision to the bidder. The decision of the District Engineer shall be final and conclusive unless, within 30 days from the date of receipt of such copy, the bidder mails or otherwise furnishes to the District Engineer a written appeal addressed to the Secretary of the Army. The decision of the Secretary, or his duly authorized representative for the determination of such appeals, shall be final and conclusive unless determined by a court of competent jurisdiction to have been fraudulent, capricious, arbitrary, so grossly erroneous as necessarily to imply bad faith, or not supported by substantial evidence. In connection with any appeal proceeding under this condition, the bidder shall be afforded an opportunity to be heard and to offer evidence in support of appeal. Pending final decision of a dispute hereunder, the bidder shall proceed diligently with the performance of the contract and in accordance with the District Engineer's decision. This condition does not preclude consideration of questions of law provided that nothing in this condition shall be construed as making final the decision of any administrative official, representative, or board on a question of law. 13. REJECTION OF BIDS: The right is reserved, as the interests of the Government may require, to reject at any time and all bids, to waive any informality in bids received, and to accept or reject any items of any bid unless such bid is qualified by specific limitation. 14. DEFAULT: In the event that the successful bidder fails to pay the balance due within five (5) days after receipt of Government notification that his bid has been accepted or in the event that the successful bidder fails to otherwise comply with the terms of this Invitation, the Government may declare the bidder in default and retain the deposit as liquidated damages. 15. The contract will be awarded by mail to that responsible bidder whose bid, conforming to the IFB, will be most advantageous to the Government, price and other factors considered. A written award mailed (or otherwise furnished) to the successful bidder within the time for acceptance provided in the IFB shall be deemed to result in a binding contract. 3. Upon payment of the full bid price, the Government will issue the Notice to Proceed with removal of the property. Upon receipt of this Notice to Proceed, the bidder shall assume title to said property and assume responsibility for its care, protection, and removal. The bidder shall expeditiously remove the property from the site in a manner satisfactory to the Contracting Officer at the bidder's cost and expense. 4. Building removal operations on Government property shall be performed only between the hours of 7:30 a.m. and 5:00 p.m., Monday though Friday, excluding Federal holidays. Variation to this stipulation shall require advance written approval from the Contracting Officer. 5. The successful bidder will have until July 1, 2014, from receipt of Notice to Proceed to complete the removal of the building and the clean up of the site to the satisfaction of the Contracting Officer. If all work is not completed by July 1, 2014, the successful bidder will forfeit all rights, title and interest in the property and may be liable for the full amount of damages sustained by the Government to complete the removal because of the bidder's failure to complete the removal. Any delay caused by the Government shall not be counted towards the July 1, 2014 deadline. 6. Extensions of time provided to complete the removal and restoration work shall only be granted if, in the opinion of the Contracting Officer, unusual and unforeseeable circumstances justify such extensions. All request for extensions of time are subject to the following procedures: a. The bidder must submit, in writing, a request for an extension of time to the Contracting Officer. This written request must include a justification for the extension and must be submitted in sufficient time to allow the Contracting Officer to act upon the request prior to the time originally specified herein for completion of removal. b. Pending the approval or disapproval of the requested extension, the bidder shall diligently proceed with completion of the removal of the building, including clean up. c. All Specific and General Conditions will continue to apply throughout the extension period. d. No extensions of time will be granted unless first approved in writing by the Contracting officer. 7. The bidder shall comply with any instructions by the Contracting Officer or his or her representative, regarding methods to be employed in the removal of the building or any portion thereof. No part of the removal work covered by this IFB will be performed which is unsanitary or hazardous or dangerous to the safety or health of persons engaged in the services of the bidder. The work site shall be appropriately cordoned off to restrict casual access, children. The bidder further agrees to abide by all safety, security, traffic and other regulations in effect at the premises, as well as all local, state, and federal laws applicable to the removal work required herein. 8. The Government shall not be responsible for the loss or damage to any equipment, machinery, or other property; either hired, used, or owned by the bidder. Upon completion of the work covered under this contract, said equipment, machinery or other property shall be immediately removed for the site by the bidder. 9. The bidder shall assume responsibility and liability for all injuries to persons or damages to property, directly or indirectly due to, or arising from operations conducted under this contract and the bidder agrees to indemnify and save harmless the United States against any and all claims of whatsoever kind and nature due to, or arising out of, this contract. 10. Any property of the United States damaged or destroyed by the bidder shall be promptly repaired or replaced by the bidder to the satisfaction of the Contracting Officer, or in lieu of such repair or replacement the bidder shall, if so required by the Contracting Officer, pay to the United States an amount determined by the Contracting Officer to be sufficient to compensate for the loss sustained by the United States. 11. There is no record or knowledge of there being any asbestos or other hazardous or toxic materials being a part of the building, but if any are discovered during relocation or salvage, they shall be disposed of at the total expense of the Licensee. 12. Exposure of airborne asbestos has been associated with a number of health problems. The bidder specifically agrees to indemnify and hold harmless the United States of American, its agents and officers, from liability of any nature or kind arising out of asbestos exposure to successful bidders and/or their associated personnel. 13. The building shall be removed to the concrete slab including the interior structure and fixtures. Burning of debris or material will not be permitted. 14. The bidder accepts the building quote mark as is quote mark and is responsible for obtaining all necessary state and local permits and clearances that may be required and the responsibility for the disconnection of any utilities for the relocation or salvage of the building. 18. Prior to commencement of removal of the structure or equipment, the bidder shall schedule a meeting with the Project Manager, John C. Cave (or his representative), Telephone 610 376-6337, to determine safety, security and administrative regulations, as required to accomplish removal.
