Description
This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. Responses shall reference solicitation number DE-SOL-0006532, which is being issued as a Request for Proposal (RFP). This combined synopsis/solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-72 The North American Industry Classification System (NAICS) Codes for this acquisition is 531210. The U.S. Department of Energy (DOE)/Rocky Mountain Oilfield Testing Center (RMOTC) at the Naval Petroleum Reserve 3 (NPR-3) (Government) intends to award a support services contract to include all labor, material, and equipment to provide brokerage services to the Department of Energy (DOE ) for the sale and transfer of the NPR-3 to private industry through best commercial practices in accordance with Title XXXIV of the Strom Thurmond National Defense Authorization Act for Fiscal Year 1999, Pub. Law 105-261 (October 17, 1998), Section 3404. Note: Travel costs will be reimbursed by DOE on a case-by-case basis and should not be submitted in the offeror?s cost proposal. Contractor shall provide a Cost-Plus-Fixed Fee proposal. 1.0INTRODUCTION NPR-3 was created by Presidential Order in 1915 and covers approximately 9,481 acres of land in Wyoming known as the Teapot Dome Oilfield. The Naval Petroleum Reserves Production Act of 1976 Public Law 94-258 (April 5, 1976) directed that the reserves be developed at their maximum efficient rates. NPR-3 is the only remaining Naval Petroleum Reserve administered by DOE. It consists of a small stripper well oilfield that currently produces approximately 250 barrels of crude oil per day from approximately 400 producing wells. Efforts to bring on additional wells through primary production efforts (approximately 130 additional) that have been idle in the past for lack of maintenance are being brought back on production this year. DOE will be increasing production prior to the sale of the property. DOE also intends to continue its ongoing program to plug and abandon unproductive wells this year prior transfer of property. 1.1 Organization U.S. Department of Energy Rocky Mountain Oilfield Testing Center (RMOTC) 907 North Poplar Street, Suite 150 Casper, WY 82061 1.2 Place of Performance Naval Petroleum Reserves No. 3 (NPR-3) is a federally owned oil and gas field of 9,481 acres located about 35 miles north of Casper, WY. Administrative offices are located in Casper, Wyoming. 1.3 Site Visit. A site visit is scheduled for Thursday, February 13, 2014 at 9:00am, at 907 North Poplar, Suite 150, Casper, WY 82601. The site visit is a two-part event that entails the initial visit in the town office providing general information. The second part will be a site visit to the NPR-3 oilfield located approximately 35 miles north of Casper, WY starting no later than 1:00 p.m. the same day. Offeror?s are responsible for their transportation to and from the oilfield. Note: Part 2 of the site visit may be canceled due to inclement weather at NPR-3. Participants should familiarize themselves with Paragraph 5 of this solicitation in its entirety. Parties interested in visiting the site shall notify the point of contact, paragraph 5.1, of their intent to visit the site no later than 5:00 p.m. February 11, 2014. Please send notification to mark.parker@rmotc.doe.gov as soon as possible to attend the site visit. Include contact information for yourself for the days leading up to the site visit. Attendance is limited to two individuals from each company. 2.0 OBJECTIVES RMOTC requires assistance in the sale of NPR-3 to private industry using best commercial practice to maximize the sale value received by the Government. The sales and transfer of ownership is to be completed no later than December 31, 2014. 3.0 SCOPE OF WORK To achieve this mission objective DOE intends to award a cost-plus-fixed fee contract. The contractor, hereinafter referred to as ?Sales Administrator? (SA) shall provide all services to administer the sale of the United States right, title, and interest in NPR-3. The SA will act as DOE?s representative in performing sales functions to include marketing, solicitation of offers, evaluation of offers, and recommending a best value award to the Government by no later than September 30, 2014. SA will assist in title and purchase and sales agreement preparation for the sale and transfer of NPR-3 the oilfield. The subject services will be performed in a manner consistent with commercial practices, and in a manner which maximizes total sale proceeds to the Government The SA shall perform the following tasks to include, but not limited to: ?Identify and evaluate alternative sales strategies, submit a recommended strategy with schedule to DOE, and, subject to DOE approval, implement such sales strategy. In determining the sales method, the SA should consider alternative mechanisms for divestiture that alone or in combination, maximize total sale proceeds to the Government. ?Compile and distribute informational materials and serve as the DOE point of contact for sale information requests. ?Advise and assist DOE in NPR-3 property related issues as requested. ?Prepare a draft solicitation for the sale and transfer of NPR-3 for review and approval by the Government. Distribute approved solicitation to perspective buyers and receive offers. ?Conduct an aggressive marketing campaign for the sale of NPR-3 through industry contacts, marketing and advertisement efforts. ?Evaluate offers and provide analysis of offers with recommendation for best value to the Government. ?Assist DOE in negotiations, as requested, with offerors. ?Prepare a draft sales contract, or contracts, for review and approval by the Government. ?Prepare all required documents, such as a purchase and sales agreement documents, for review and approval to complete the sale and transfer of NPR-3 to new owners. ?Complete travel, as may be required, to review and prepare strategies for the sale with the DOE Casper office; present information, strategies, and complete documentation and coordination with DOE senior management in Washington D.C. All travel must be completed and conform to the Federal Joint Travel Regulation and will be reimbursed by the Government as required. ?Coordinate and participate in site visits of NPR-3 by prospective buyers. ?Provide to the DOE Contracting Officer (CO) with written and/or oral briefings on the status of its divestment activities, as requested. If the SA determines that the deadlines/schedules in this contract, or those otherwise identified in the authorizing legislation, cannot be met for any reason, it shall advise the CO at the earliest possible time. 3.1 Past Performance Provide past performance evaluations from clients who received your support or services in the sale of oil and gas properties (minimum of three). 3.2 Deliverables The following identifies deliverables: Progress report weekly to the Contracting Officer Representative (COR) ?Marketing strategy. ?Marketing progress. ?Solicitation. ?Schedule status. ?Schedule issues. ?Presentation/briefing to DOE senior management (as required) ?Abstract of Offers with analysis supporting best value determination. ?Draft Purchase and Sales Agreement. ?Title Transfer documents. Final Report (30 days after property transfer)O) CO/COR. ?Summary report of support activities. ?Marketing strategy utilized and results. Total number of offers received and price range. 3.3 Evaluation Criteria The Government anticipates the award of a single contract as a result of this solicitation to the responsible offeror whose proposal is responsive to the solicitation and is determined to be the best value to the government. Evaluation factors, other than cost or price, when combined, are significantly more important than cost or price. ?Past Performance ? Experience in sale of comparable producing oil and gas properties. ?Quality of the overall technical plan and schedule in response to the SOW. oStrategy used to maximize sales price and identify and mitigate risks throughout the marketing, sale, and transfer processes of the oilfield. oDemonstrate knowledge of oilfield reporting and data; environmental liabilities; management of cultural resource; real property (facilities, infrastructure and easements); State oil and gas rules and regulations. oAbility to reach oil industry market segments. oAbility to draft and coordinate transfer/title documents with Government and Buyer to complete the sale and transfer of oilfield property. ?Cost. (Travel costs should not be included in offeror?s proposal) The following rating method shall be used in the evaluation of the technical approach: Outstanding ? Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. The proposal contains multiple strengths and no deficiencies. Good ? Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains at least one strength and no deficiencies. Acceptable - Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Proposal has no strengths or deficiencies. Unacceptable - Proposal does not meet requirements and contains one or more deficiencies and is unawardable. 3.5 Delivery Instructions Delivery of contractor proposal and other required documentation will be provided by soft-copy via e-mail or on electronic media only. Deliverables may be one or a combination of MS Office products. Electronic delivery is required by the specified due date to the Contract Specialist at the email address identified below in paragraph 5.1, Point of Contact. 3.6 Proposal Submission Requirement ?Proposals shall contain at a minimum; draft marketing plan, marketing schedule, price schedule, evidence of past oil field sales experience and provide sufficient detail for the Government to make award. ?Travel will be negotiated after award and paid in accordance with Federal Travel Regulations. Travel costs will be reimbursed by DOE on a case-by-case basis and should not be submitted in the offeror?s cost proposal. ?Offers must be valid for 90 days after solicitation closes. The Government?s intent is to make an award without discussions. 3.7 Attachments ?Map to NPR-3. ?Facility Map. ?Naval Petroleum Reserve No. 3 Disposition Decision Analysis and Timeline. 4.0 ADMINISTRATIVE INFORMATION 4.1 Point of Contact Mark Parker Contract Specialist RMOTC 907 North Poplar Street, Suite 150 Casper, WY 82601 mark.parker@rmotc.doe.gov 4.2 Place of Performance NPR-3, 33259 North Highway 259, Casper (Midwest), WY 82601. 4.3 Hours of Work Normal hours of operation for NPR-3 are from Monday ? Thursday, 6:30AM ? 5:00 PM No deviation to the normal hours of operation will be permitted at the site. 4.4 Period of Performance The Period of Performance is May 1, 2014 through January 31, 2015. 4.5 Travel and Per Diem All travel, unless otherwise specified, will adhere to the Joint Travel Regulations (JTR) maximum allowable housing and daily per diem rates. There are limited lodging and dining facilities in Midwest, WY. 4.6 On-Site Vehicle Requirement 4-Wheel drive is recommended. At any given time, the roads can become very difficult to drive on. 4.7 Safety Requirements The contractor shall stop work immediately on any activity that places human safety or health in imminent danger. Immediately notify the COR of any safety issue. The contractor must perform all work in compliance with federal, state, and local regulations. The contractor must obtain all federal, state, and local permits required for the work and perform work in compliance with the permits. The contractor must obtain permits from RMOTC for the following types of work: (1) Trenching or Excavation, (2) Confined Space Entry, (3) Hot Work, and (4) Crane Pre-Lift. All contractor staff must sign-in each morning before beginning work and sign-out prior to leaving the field. Everyone working at RMOTC must participate in a brief safety orientation before beginning work. Additionally, contractor?s staff, and RMOTC staff, will meet before any work begins on the instrument to discuss safety, health, and environmental concerns in a review of the proposed work. The contractor must determine what personal protective equipment, or other health and safety related equipment, is required for performing work covered by this instrument. All personnel must possess the following personal protective equipment: Hard Hat Steel Toed Boots Safety Glasses Fire Retardant Clothing (FRC) The contractor must designate a person in charge (PIC). The PIC?s responsibilities are: (1) receive training on RMOTC?s Control of Work procedure, (2) remain on the work site during all work activities, (3) complete a daily Job Safety Analysis (JSA), (4) complete Energy Isolation Log (if applicable), (5) complete Chemical Approval Forms (if applicable), and (6) complete a Spill Reporting Form (if applicable). A daily Job Safety Analysis (JSA) is required. The contractor and designated RMOTC staff will review anticipated work and site conditions and discuss job hazards and possible mitigations. 4.8 Environmental Requirements Stop work immediately on any activity that places the environment in imminent danger. Immediately notify the instrumenting officer?s representative of any environmental issue. All work must conform to all federal, state, and county environmental regulations and requirements. While working at RMOTC, contractors must exercise due diligence to 1) ensure waste minimization and pollution prevention, using industry best practices, 2) optimize energy efficiency, minimize greenhouse gases, and 3) conserve RMOTC?s water resources. Contractors must immediately notify the instrumenting officer?s representative of any spills or other environmental issues. 4.9 Security Requirements Work is expected to be unclassified in nature and no special security clearances are anticipated. All contractor foreign national visitors must register in DOE?s Foreign Access Central Tracking System (FACTS) data base. DOE must approve the foreign national?s Requests for Approval of Unclassified Foreign Visit and Associated [UFV&A] security plan before their entry to RMOTC. The contractor must ensure that each foreign national provides official documentation of identity, authority to work, and eligibility to be in the United States, at the time of the foreign national?s initial orientation. Acceptable Information can be obtained via Passports, Visas, Permanent Resident Cards, etc. The information will be cross-checked against previously-provided information, and changes will be made to the biography section in FACTS as needed. No controlled or prohibited items, including firearms, knives with a blade longer than four inches, explosives, alcohol, and illegal drugs are allowed on NPR-3. 5.0 Responses Electronic responses/offers to this combined synopsis/solicitation will be accepted via Fedconnect, available at http://www.fedconnect.net and by email to the contract specialist identified herein. It is the offeror?s responsibility to monitor the Fedconnect site for the release of amendments (if any) and to verify successful transmission prior to quote due date and time. If submitting through the Fedconnect web site http://www.fedconnect.net offers must be received NO LATER THAN 8:00 PM ET on 28 February 2014. Other than Fedconnect submissions must be received by the same time.
