Attachment B - Additional Terms and Conditions Attachment A _ Statement of Work (SOW) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotations are being requested and a written solicitation will not be issued. Solicitation number CFHRB-13-SO-0165 is issued as a Request for Quotation (RFQ) under the Test Program for Certain Commercial Items (FAR Subpart 13.5). The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-68. This procurement is not a set-aside. All responsible sources that have been approved on the National Registry of CPE Sponsors offered by the National Association of State Boards of Accountancy (NASBA) may submit a quotation. The NAICS code for this acquisition is 611430 with a small business size standard of $10.0 million. The Government intends to award one contract resulting from this solicitation. As described in the Statement of Work, Attachment A to this RFQ, the contractor shall furnish customized training that encompasses functions of a regulatory auditor. The period of performance will be one year from the effective date of award, with two additional one-year options to extend the term of the contract. All deliverables shall be shipped F.O.B. Destination. The provision at FAR 52.212-1, Instructions to Offerors-Commercial, applies to this acquisition. The following is incorporated into this solicitation as an addendum to FAR 52.212-1, which replaces section (f) of the provision: "(f) Quotations received after the time and date specified in the solicitation will not be accepted unless the Contracting Officer determines that acceptance of the quotation is in the Government's best interest and will not unduly delay the acquisition." The provision at FAR 52.212-2, Evaluation-Commercial Items, is applicable to this procurement. The specific evaluation criteria to be included in paragraph (a) of that provision are: (1) Technical Approach - The proposed technical approach, explanation of course development approach, proposed delivery methods, course outlines and content and description of the interactive opportunities to be employed during course execution will be evaluated to determine the extent to which it demonstrates an in-depth understanding of the requirements of the effort and the likelihood of successful performance. CFTC will evaluate information provided in the written quotation, information provided in response to clarification questions, and information provided by discussions and/or quotation revisions, if any. (2) Key Personnel - The experience and qualifications of the proposed key person will be evaluated on the extent to which the individual demonstrates the likelihood of successful performance. The key person will be evaluated on the degree to which he/she demonstrates the capabilities necessary to effectively develop and deliver training similar to that required under this procurement. The evaluation will be based on the individual's resume and other information provided in the written quotation, references if contacted, information provided in response to any clarification questions, information provided by discussions and/or quotation revisions, if any, and any other information available to the Government. (3) Corporate Experience and Past Performance - The quoter's history of successfully performing projects similar in scope to this project will be evaluated on the extent to which it demonstrates a likelihood of successful performance under the contract. An important factor indicating similarity to this project will be the extent to which the cited projects involved furnishing custom-developed auditor training of financial statements for entities such as Futures Commission Merchants (FCM). The evaluation will be based on information provided in the written quotation, references if contacted, information provided in response to any clarification questions, information provided by discussions and/or quotation revisions, if any, and any other information available to the Government. As part of this evaluation, the Commission will also consider comments from past performance references (if contacted) on their experiences using the quoter's online and in-person resources. (3) Price - The evaluated price will be the sum of the quoted firm-fixed-prices in accordance with the pricing schedule for each of the potential three (3) years of the contract. CFTC may award the contract to other than the lowest priced quoter. The above technical criteria (i.e., 1, 2 and 3) are listed in declining order of importance. From the standpoint of the relative importance of price to the technical criteria, the technical criteria, when combined, are significantly more important than price. However, as the merit of technical factors in competing quotations approaches equality, price will become increasingly more significant as an evaluation factor. Quoters shall include a completed copy of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items, with their quotations. The clause at 52.212-4, Contract Terms and Conditions-Commercial Items, applies to this acquisition. There are no addenda applicable to the clause. The clause at 52.212-5, Contract Terms and Conditions Required to Implement Statutes or Executive Orders-Commercial Items, applies to this acquisition. The following additional FAR clauses cited in the clause are applicable to this acquisition: 52.203-6 with Alternate I; 52.204-10; 52.209-6; 52.209-9; 52.209-10; 52.219-4; 52.219-8; 52.219-28; 52.222-3; 52.222-21; 52.222-26; 52.222-35; 52.222-36; 52.222-37; 52.222-40; 52.222-54; 52.223-18; 52.225-13; 52.232-33; and 52.239-1. Additional terms and conditions to be included in the contract are described in Attachment B to this solicitation. Quotations shall include the following: (1) Instructions for Technical Approach - Provide a technical response for accomplishing the work described in the Statement of Work. The response must include an in-depth description of the technical approach for accomplishing the work including a description of the manner in which the vendor will approach the development of the courses, a discussion of the extent to which the course content will focus on industry specific content and its relevance to the CFTC examinations process, an explanation of the proposed delivery methods (in-person and/or remotely), high-level course outlines that group the topics contained in the Statement of Work into eight (8) hour training sessions, and interactive opportunities to be employed during course execution. Furthermore, the quoter shall be approved on the National Registry of CPE Sponsors offered by the National Association of State Boards of Accountancy (NASBA). (Note: The technical approach response shall be limited to five (5) pages, using 12 point or larger font for text, with a maximum page size of 8.5" x 11".) (2) Instructions for Key Personnel - Provide a resume for the proposed key person that demonstrates knowledge of the industry/audit procedures/regulations that would be relevant to CFTC's examination process, shows complete work and education history, including dates of employment, and demonstrates the experience and qualifications necessary to successfully perform the work. Provide two client references and provide the relevant point of contact information. If the proposed individual is not currently employed by the prime, provide a letter of commitment signed by the individual that clearly states his or her availability to work on this project in the event of award. (Note: Each proposed key personnel resume is shall be limited to two (2) pages, using 12 point or larger font for text, with a maximum page size of 8.5"x 11".) (3) Instructions for Corporate Experience and Past Performance - Provide information on four (4) projects similar in scope to this project that are currently being completed or have been completed by your firm within the past two (2) years. For each project, also provide point of contact information (i.e., name, title, telephone number and email address) for contractual matters (e.g., Contracting Officer) and technical performance (e.g., COR). (Note: The description of each project shall be limited to two (2) pages, using 12 point or larger font for text, with a maximum page size of 8.5"x 11".) (3) Instructions for Price - Quoters shall provide a firm-fixed-price for each of the potential three (3) years of the contract. The firm-fixed-price per class shall cover all items and services described in the Statement of Work including other direct costs such as travel, training material, etc. CFTC expects to evaluate quotations and award a contract without conducting discussions and/or soliciting quotation revisions. Therefore, the quoter's initial quotation should contain the quoter's best terms from a price and technical standpoint. However, CFTC reserves the right to conduct discussions if later determined by the CFTC Contracting Officer to be necessary. All questions regarding this combined synopsis/solicitation shall be submitted to the Contracting Officer via email to krison@cftc.gov, by 12:00 p.m. local (Washington, DC) time on August 15, 2013. CFTC expects, but does not guarantee, to answer questions submitted by this time. Questions, if answered, will be responded to in the form of an amendment to this combined synopsis/solicitation. Prospective quoters are warned against contacting any CFTC personnel other than the Contracting Officer prior to award of a contract resulting from this solicitation. If such a contact occurs and is found to be prejudicial to competing vendors, the vendor making such a contact may be excluded from award consideration. Quotations are due no later than 12:00 p.m. local (Washington, DC) time on August 21, 2013. The quotations shall be submitted to the attention of Contracting Officer Kay Rison, and may either be delivered to the address specified in this notice or submitted via email to krison@cftc.gov.
