Signed copy of the Justification and Approval JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION FA2517-09-C-6902 Precision Mesurement Equipment Laboratory (PMEL) INTRODUCTION: Justification for other than full and open competition in accordance with FAR 6.302-1 -- Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements. The following implements the minimum requirements of FAR 6.303-2 "Content": I. IDENTIFICATION OF AGENCY, CONTRACTING ACTIVITY AND JUSTIFICATION. [6.303-2(a)(1)] A. Agency: Department of the Air Force B. Contracting Activity: 21st Contracting Squadron, Peterson AFB, Colorado C. Justification Type: Other than full and open competition D. Authority: FAR 6.302-1(a)(2)(iii)(A) II. NATURE AND/OR DESCRIPTION OF THE ACTION BEING PROCESSED. [6.303-2(a)(2)] A. This action is to execute a modification to extend the performance of services on Contract FA2517-09-C-6902, Precision Measurement Equipment Laboratory (PMEL), pursuant to FAR clause 52.217-8 "Option to Extend Services" for a six month period. Period of performance for this extension follows completion of the final option period and is established as 1 October 2013 - 31 March 2014. B. The Air Force has determined that centralizing current independent contract activities for PMEL services into one contract, will save money by leveraging its purchasing power, standardizing requirements, and eliminating redundant contracting efforts. Due to the short time frame between the end of this contract and the proposed award date of an Air Force Enterprise Contracted (AFEC) Precision Measurement Equipment Laboratories (PMEL) Services contract, the Government's alternatives are limited. Another solicitation of qualified contractors, as opposed to extension of the current contract, would not provide sufficient time to allow mobilization and would not be in the best interests of the government. C. This action is required to provide essential services on an interim basis during the transition period between the end of the current contract and the competitive award of the Air Force Enterprise Contracted (AFEC) Precision Measurement Equipment Laboratories (PMEL) Services contract. Extension of these services under the existing contract FA2517-09-C-6902, will prevent a break in service and prevent a disruption of operational capabilities for the PMEL services. The current and final option year will expire on 30 September 2013. There are no options available to extend the current contract and it is imperative to ensure continuation of this mission-critical service. D. The contract type for the original contract and this modification is Fixed Price. III. DESCRIPTION OF THE SUPPLIES/SERVICES REQUIRED TO MEET THE AGENCY'S NEEDS, ESTIMATED VALUE. A. The Peterson Air Force Base (PAFB) Type IIB base-level PMEL contract supports aircraft, missiles, ground systems and other equipment. The PMEL inspects, tests, aligns, repairs, calibrates, certifies and maintains electronic, mechanical and dimensional Test, Measurement and Diagnostic Equipment (TMDE) for customers located in the surrounding area to include Peterson AFB, Shriever AFB, Buckley AFB, the United States Air Force Academy (USAFA), and Cheyenne Mountain Air Force Station (AFS). The PMEL also provides Fiber Optics calibrations for Kirtland AFB, F.E. Warren AFB, Malmstrom AFB, and Minot AFB; these calibrations are performed at the PAFB PMEL. On-Site calibration support is necessary for certain workload requirements. Continued service support is essential to the 21st Operation Support Squadron's mission accomplishment. B. This action has an estimated dollar value of $396K for the six-month extension period. The performance period for the extension would be 1 October 2013 through 31 March 2014. The dollar value of the estimate is based on the amount paid at current service levels under the previously-competed award. The scope of work for the extension will remain unchanged; only an extension of current services is required. C. The Independent Government Cost Estimate (IGCE) for this total effort is $395,744.90. This office is in receipt of a planning AF Form 9 (FY 14) to fund this requirement for six months of service and all indications are that funding will be available. D. The type of appropriations to fund this effort is 3400. IV. STATUATORY AUTHORITY. [6.303-2(a)(4)] Authority: FAR 6.302-1(a)(2)(iii)(A). The modification will be issued on a sole-source basis in the interest of efficiency as a logical follow-on extension of services modification under the current contract as prescribed in the "Option to Extend Services" clause of the contract. It is not physically possible for another contractor to complete all required activities in the time necessary to begin performance on these critical services. The incumbent contractor is already mobilized, is managing the efforts, has all of its subcontracts and personnel in place, and is currently providing timely services for the contract. Substantial duplication of cost to the Government is not expected to be recovered through new competition, and pricing for a bridge contract would be prohibitive based on the short period of performance for any bridge contract. V. DEMONSTRATION THAT THE PROPOSED CONTRACTOR'S UNIQUE QUALIFICATIONS OR THE NATURE OF THE ACQUISITION REQUIRES USE OF THE AUTHORITY CITED. [6.303-2(a)(5)] Conducting a separate competition for an overall short-term bridge contract could dramatically delay and complicate the transition of PMEL services to the Air Force Enterprise Contracted (AFEC) Precision Measurement Equipment Laboratories (PMEL) Services contract. Typical competitive source selections at this dollar value can take several months to process and the period of performance for any bridge contract would have to be short, so as to ensure a quick transition to the Air Force enterprise contract. The selection of a bridge contractor to be replaced by contractors under the AF enterprise contract in a few months would significantly complicate mission performance on requirements which demand a dependable and consistent response. In addition, using a bridge contract is considered impracticable as the AF enterprise PMEL contract will be awarded shortly after any performance on a new contract has begun, resulting in transitioning PMEL workload and equipment twice within a short period of time resulting in significant risk to the mission. The Peterson AFB PMEL processes over 5K pieces of Test Measurement and Diagnostic Equipment which require step-by-step interface between the contractor and the government. With the vastly differing missions supported by this laboratory, it is extremely important that all tasks stay on course without switching personnel and resources twice. The contractor (Aviation Systems of NW Florida, Inc.) has been performing this service satisfactorily since contract award. They are the only source with proprietary knowledge that offers: a) all required replacement parts for the instruments; and, b) a staff of fully trained field support representatives and engineers completely familiar with the instruments who can offer immediate assistance, ensuring minimal instrument downtime. Through no fault or lack of planning, the enterprise contract that will meet the follow-on needs will not be available prior to the end of the existing contract. It is impracticable to obtain the required services through a full and open competition among responsible sources at fair and reasonable prices for the short amount of time a bridge contract would be required. For the reasons set forth above, it is in the best interest of the Air Force to extend the current contract to meet the needs of the Air Force during the time frame necessary to complete the Air Force Enterprise PMEL contract award. VI. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE SOLICITED FROM AS MANY POTENTIAL SOURCES AS IS PRACTICABLE, INCLUDING WHETHER A NOTICE WAS OR WILL BE PUBLICIZED AS REQUIRED BY SUBPART 5.2 AND, IF NOT, WHICH EXCEPTION UNDER 5.202 APPLIES. [6.303-2(A)(6)] Exception 5.202(a)(11) - The proposed contract action is made under the terms of an existing contract that was previously synopsized in sufficient detail to comply with the requirements of FAR Subpart 5.207. VII. ORDERING ACTIVITY CONTRACTING OFFICER'S DETERMINATION STATEMENT THAT THE MODIFICATION REPRESENTS A FAIR AND REASONABLE ANTICIPATED COST. [6.303-2(a)(7)] The anticipated cost is considered fair and reasonable based on previously negotiated and competed pricing during initial award and subsequent option years. Terms and conditions of the contract, including current pricing, will remain the same upon the extension of services. Due to Headquarters Air Combat Command Acquisition Management and Integration Center (AMIC) currently finalizing the source selection contract for all PMEL's, it would be most advantageous to the Government to exercise clause 52.217-8 to extend the term of the contract. If this clause is not exercised, the reprocurement costs for this period of performance would be extensive to the customer and the Government. Therefore, prices are still considered fair and reasonable and clause 52.217-8, Option to extend the contract will be exercised to extend this contract no longer than the allowed six months. VIII. DESCRIPTION OF MARKET RESEACH CONDUCTED OR STATEMENT OF THE REASON MARKET RESEACH WAS NOT CONDUCTED. [6.303-2(a)(8)] Market research has been conducted as required for each exercised option during the life of this contract. This contract action is simply an extension of services and all contract terms and conditions will remain the same. Market research is not necessary for this action. IX. OTHER FACTS. [6.303-2(a)(9)] None. X. A listing of the sources, if any, that expressed, in writing, an interest in the acquisition. [6.303-2(a)(10)] Not applicable. XI. STATEMENT OF ACTIONS THE AGENCY WILL TAKE TO REMOVE OR OVERCOME BARRIERS THAT LED TO THE RESTRICTED CONSIDERATION BEFORE ANY SUBSEQUENT ACQUISITION FOR SUPPLIES OR SERVICES IS MADE. [6.303-2(a)(11)] Not applicable. Action executed in accordance with the terms, conditions and provisions of the contract as described above. In addition, future acquisition for these services under the Air Force Enterprise Contracted (AFEC) Precision Measurement Equipment Laboratories (PMEL) Services contract will be competitive. XII. CONTRACTING OFFICER'S CERTIFICATION THAT THE JUSTIFICATION IS ACCURATE AND COMPLETE TO THE BEST OF THE CONTRACTING OFFICER'S KNOWLEDGE AND BELIEF. [6.303-2(a)(12)] I, the Contracting Officer, by affixing my signature below hereby certify that this justification for an extension of services (1 October 2013 - 31 March 2014) for FA2517-09-C-6902 is accurate and complete to the best of my knowledge and belief. [6.303-2(b)] Not applicable. Contract action executed is totally within the purview of the Contracting Officer's authority and in accordance with the terms and conditions of the contract.
