- NGB-AQ 18 July 2012 LIMITED SOURCES JUSTIFICATION AND APPROVAL The acquisition is conducted under the authority of the Multiple Award Schedule Program 1. Identification of the agency and the contracting activity and specific identification of the document as a justification and approval for a potential contracting action where only one source is capable of providing the supplies or services required because the supplies or services are unique or highly specialized. Requiring Agency: Army National Guard (ARNG-TRS), 111 South George Mason Drive, Arlington, VA 22204-1373 Contracting Agency: National Guard Bureau, Systems & IT Contracting Office (NGB-AQ), 111 South George Mason Drive, AHS 2, 4th Floor, Arlington, VA 22204-1373 2. Nature and/or description of the action being approved. The NGB plans to establish a Delivery Order under GSA GS-02F-0154R contract vehicle for the procurement of Virtual Convoy Operations Trainer (VCOT) upgrades. The proposed sole source vendor is Raydon Corporation, ATTN; Michele Toliver 1420 Hockney Court, Port Orange, FL 32128. This is a sole source for required upgrading for 68 ARNG VCOTs currently at configuration 3.1 to the latest configuration 4.0. When complete this action will have upgraded 68 ARNG VCOT systems to configuration 4.0. As newer technology becomes available, advances in training and changes in operational equipment occur; the ARNG may continue to have a requirement to upgrade the VCOTs to include these latest advances. Previous and/or current contracts have upgraded the entire fielded fleet of 72 VCOTs to configuration 3.1. Now it is time to update those VCOTs to the most current training version (configuration 4.0). Without this upgrade the ARNG will not be able to maintain essential training requirements with respect to changes in combat equipment, doctrine/enemy tactics, missions and technology. 3. A complete description of the supplies and/or services required to meet the agency’s needs include estimated value. Line Items and Pricing Mfr. Delivery shall be to various State locations. 4. An identification of the statutory authority permitting only one source capable of providing the supplies or services. Orders placed or BPAs established under Federal Supply Schedules are exempt from the requirements in FAR 6. However, an ordering activity must justify its action when only one source is capable of providing supplies or services. (B) only one source is capable of providing the supplies or services required because the supplies or services are unique or highly specialized 5. A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited. The GSA award is required to provide upgrades to the ARNG VCOT 68 fleet members. FAR 8.405-6, explains that the supporting rationale should include unique qualifications the contractor possesses in order to provide the required supplies or services. Raydon Corporation is the original equipment manufacturer and the only known source to provide software and hardware upgrades to the VCOT fleet. Raydon Corporation is the only known contractor to possess full proprietary data for the VCOT training system, and thus provide the necessary upgrades currently required by the Government. Raydon Corporation has been the provider for this legacy equipment since inception and is the only source that possesses an institutional knowledge and familiarity with the ARNG VCOT Fleet. Due to the existing training requirements, numerous states and territories require these upgrades in order to maintain a common operating platform minimizing the risk of inadequately trained personnel. Failure to provide support for this request severely limits the ARNG’s capabilities and ability to adequately train its warfighters. Due to the critical nature of training to the ARNG, it is imperative that these remaining fleet systems be upgraded to the latest configuration 4.0. Failure to implement the necessary upgrades could severely impact the ARNG mission. 6. A description of efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies. The requirement for a synopsis is waived based upon FAR 5.202(a) (11). 7. A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable. The contracting officer has determined that the anticipated cost/price to be fair and reasonable in accordance with FAR 15.404-1(b) (2) (ii) (v) based on a comparison of proposed prices to previous prices paid under the previous task order for the same or similar items and comparison of proposed prices with independent Government cost estimates. 8. A description of the market research conducted (see Part 10) and the results or a statement of the reason market research was not conducted. Market research has revealed that there is only one company, the incumbent (Raydon Corporation), which can fulfill this requirement to upgrade existing systems. 9. Any other facts supporting the use of only one source capable of providing required supplies and/or services. None 10. Any other facts supporting the justification and approval for other than full and open. Non-applicable 11. A statement of the actions, if any, the agency will take to remove or overcome any barriers that led to restricted consideration before any subsequent acquisition for supplies and services is made. IAW FAR Subpart 8.405-6 (2): (2) Posting. (i) Within 14 days after placing an order or establishing a BPA exceeding the simplified acquisition threshold that is supported by a limited-sources justification permitted under any of the circumstances under paragraph (a)(1) of this section, the ordering activity shall— (A) Publish a notice in accordance with 5.301; and (B) Post the justification— (1) At the GPE http://www.fedbizopps.gov ; (2) On the Web site of the ordering activity agency, which may provide access to the justification by linking to the GPE; and (3) For a minimum of 30 days. 12. The ordering activity Contracting Officer’s certification that the justification is accurate and complete to the best of the Contracting Officer’s knowledge and belief. Certifications and Approval from the Contracting Officer: Based on the aforementioned reasons and in accordance with USC 2304-(c) (1) and FAR 8.405-6, the Contracting Officer is justified in awarding the order to the incumbent contractor because there is no other responsible source available. I hereby certify that the data which forms the basis for this justification is accurate and complete and that the purchase request covers only the minimum requirements to satisfy the needs in the best interest of the government. The Contracting Officer has certified that the justification is accurate and complete to the best of their knowledge and belief IAW FAR 8.405-6. The Limited Sources Justification and approval explains that “there is no other contractor that could start up and provide continuous uninterrupted operations” to the existing VCOTs supporting the Army National Guard. Approvals - Approved IAW, FAR 8.404(d), ordering activity has determined that the order represents the best value (as defined in FAR 2.101) and results in the lowest overall cost alternative to meet the Governments needs.
