- SOLE SOURCE JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION The following document is prepared in accordance with FAR 6.301 and FAC 97-02, October 10, 2012, (6.303). Only one responsible source and no other supplies or services will satisfy agency requirements: 1) Identification of the agency and the contracting activity: Udall Foundation U.S. Institute for Environmental Conflict Resolution 130 S. Scott Ave. Tucson, AZ 85701 2) Nature and/or description of action being approved: Request to sole source contract with California State University (CSU) to mediate/facilitate the 3rd year of the Sierra Cascades Dialog Project, a multi-stakeholder forum that meets four times a year in the Sacramento, California area. 3) A description of supplies of services required to meet the agency's needs (including the estimated value): The Sierra Cascades Dialogue Group (SCD) consists of a broad range of stakeholders with an interest in the Sierra Nevada Range including the National Forests located within Region 5 of the Forest Service. The SCD convenes four times a year to discuss critical issues that have caused conflicts in forest planning and that affect people who live, work and recreate in the Region 5 National Forests. The intent of the dialogs is to hold regular conversations among engaged stakeholders to achieve agreements and understanding that will inform Forest Service decisions. Outcomes are shared with the Regional Leadership Team and other staff of the Forest Service. The Forest Service has requested the services of the Udall Foundation to provide neutral third party facilitation for this project for the 2013 calendar year (total of four dialog meetings). Services include meeting facilitation, preparation and agenda design with the SCD multi-stakeholder steering committee, logistical preparation for an average of 150 participants per meeting, and documentation of the meetings and steering committee calls. The total value for these services, including the venue costs, is $119,016. 4) An identification of the statutory authority permitting other than full and open competition: Other than full and open competition is authorized by FAR 6.302-1 and 41 U.S.C. 253(c)(1) because there is "only one responsible source and no other supplies or services will satisfy agency requirements." 5) A demonstration that the proposed contractor's unique qualifications or the nature of the acquisition requires the use of the authority cited: • CSU assigned to the project Gina Bartlett who has designed and executed seven previous meetings for the SCD between June 2010-September 2012. This contractor has performed very highly by meeting the contract objectives and completing all work on time and within budget. • Gina Bartlett has built relationships and trust with the SCD stakeholders through this process and has a high amount of credibility among a wide range of stakeholders for her neutrality and working fairly and effectively with known parties within this stakeholder group. • Gina Bartlett is located within geographic proximity of this project. Through her history of work in the Sierra Cascades area and within this process she has gained extensive knowledge of the geographic area and key forest issues the group is working together on. • The Sierra Cascades Dialogue Steering Committee, consisting of a range of stakeholders that represent the region, have requested the Udall Foundation to continue with CSU and Gina Bartlett as the neutral facilitator to maintain consistency and not cause disruptions in the project that may affect their success. • Gina Bartlett is a member of the Udall Foundation's National Roster of ECR practitioners 6) A description of the efforts made to ensure that offers are solicited from as many sources as is practical, including whether a CBD notice was or will be publicized as required in Subpart 5.2 and, if not, which exception under 5.202 applies: 5.202 - The contracting officer need not submit the notice required by 5.201 when (a)(2) The proposed contract action is made under the conditions described in 6.302-2 (see #4) 7) A determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable: • Gina Bartlett's hourly rate is $188/hr which is within the middle range of rates on the ECR National Roster of ECR Practitioners. A survey of the rates charged by other roster members in the Sacramento/Bay Area of California revealed rates ranging from $160 to $220 per hour. • The cost for the 2012 Dialogs was contracted for $90,864.43 which was determined to be fair and reasonable compared to contracts awarded by the Udall Foundation for similar services. The price quoted for 2013 is within range of this estimate. The price increase for 2013 to $119,016.38 is due to the following: o Increase in venue costs due to the new location that will accommodate more people and has access to necessary technology o New audio/visual costs to accommodate webcasting of meetings and needed equipment o Additional hours for Gina Bartlett based on the needs of 2012 to manage the SCD project. Also the January Meeting for 2013 will be a two-day meeting whereas all meetings in 2012 were 1 day meetings. 8) A description of the market survey conducted (Sec. 7.101) and the results or a statement of the reasons a market survey was not conducted: A market survey was not conducted due to the fact that the Forest Service and the SCD steering committee has specifically requested this contractor. 9) Other factors supporting the use of other than full and open competition: Gina Bartlett has extensive knowledge from the previous years that is directly applicable to the 2013 Dialogs. With this knowledge, she is able to design agendas and logistics based on what has worked or not worked in the past and also is able to move discussions forward from previous Dialog meetings. A considerable amount of time and money would need to be invested to bring another contractor up to speed to operate at the same capacity, including a stakeholder assessment that would be estimated in the $15,000 - $30,000 range. 10) Listings of any sources, if any, that expressed, in writing, an interest in the acquisition: None 11) Statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the services require: None 12) Certification Prepared by: Phil Lemanski Title: Chief Financial Officer and Designated Contracting Officer Date: 10/16/2012
