Description
Justification for an Exception to Fair Opportunity Advanced Technology Support Program III (ATSP3) Indefinite Delivery / Indefinite Quantity (ID/IQ) Delivery Order Contract I. Contracting Activity: Defense Microelectronics Activity, Contracting Office (DMEA/MEE), McClellan, CAII. Nature and/or Description of the Action Being Approved:The B-2 program office at Oklahoma City Air Logistics Center (OC-ALC) Tinker Air Force Base has a requirement to resolve obsolescence and vanishing vendor issues with the B-2 Defensive Management System (DMS) equipment required for repair and test of critical Shop Replaceable Units (SRUs) and Line Replaceable Units (LRUs) in the ZSR-63 Threat Emitter Location Set (TELS). This new requirement is the fifth increment of the Hot Bench Mock Up (HBMU) program to reverse engineer required test equipment, interface test adapters and associated test program sets to support legacy and newly redesigned form/fit/function replacement LRUs and SRUs. A cost plus fixed fee engineering services order is anticipated for this task. III. Description of the Supplies/Services Required to Meet the Agency's Need (including the estimated value):The B-2 Defensive Management System (DMS) is partially non-supportable due to lack of reliable, operational Hot Bench Mock-Up equipment required for repair and test of critical legacy and form/fit/function replacement Shop Replaceable Unit (SRU) and ) Line Replaceable Unit (LRU) in the ZSR-63 Threat Emitter Location Set (TELS). Original suppliers have either changed ownership or completely ceased production of the components causing significant obsolescence. Specifically, this task order is to update, build, integrate and test the designs developed under CET 10-022, dated 08 Dec 09, in conjunction with work being performed under CET 10-099, dated 18 Aug 10, CET 11-173, dated 21 Sep 11 and CET 12-212, dated 21 Feb 2012. The SRUs to be included are: Band 3 Digital Receiver (DR) and associated RF Converter, RF Synthesizer and IF Converter; Band 4 DR SRUs and associated SSRUs (Signal Conditioner, BIT-Cal, RF SRU). The estimated program value is $6,179,295. The effort is being funded with USAF Procurement Funds (5703010 and 5713010). The delivery order period of performance will be 42 months from award, and is anticipated to begin in July 2012 and be completed by Dec 2015.IV: Identification of the Exception to Fair Opportunity (Authority Cited):FAR 16.505(b)(2)(i)(C), the delivery order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, wherein all awardees were given a fair opportunity to be considered for award of the original order.V: Supporting Rationale for Exception to Fair Opportunity:BACKGROUND: Lockheed Martin (LM), performing per CET DMEA 10-022 (B2 HBMU Increment 1) is providing updated design of the Interface Test Adapters (ITAs), software design and procurement/fabrication and build of the Band 3 Receiver Processor (R/P) LRU Test Stations. Lockheed Martin performing per CET DMEA 10-099 (B2 HBMU Increment 2) is providing updated design of the Interface Test Adapters (ITAs), software design and procurement/fabrication and build of the Band 3 SRUs and three additional HBMU Test Stations. Lockheed Martin performing per CET DMEA 11-173 (B2 HBMU Increment 3) is providing updated design for the alignment/test of Band 4 RF/RP/DR LRUs and SRUs, and Band 3 DR LRUs and added capability for 4th RF Channel to existing test racks. Lockheed Martin performing per CET DMEA 12-212 (B2 HBMU Increment 4) is providing updated design for the alignment/test of legacy Band 4 Receiver Processor (RP) LRU, Preprocessor (PP) LRU and Band 1 Radio Frequency Front End (RFFE) LRU.LM Owego NY is the only firm capable of providing the supplies and services described in Section III above without the Government experiencing substantial duplication of costs that could not be expected to be recovered through competition and unacceptable delays in fulfilling its requirementsRELATIONSHIP BETWEEN THE INITIAL ORDER AND THE FOLLOW-ON ORDERThis task is a continuation of CET 10-022 (H94003-04-D-0001-0038) B-2 HBMU Increment 1; CET 10-099 (H94003-04-D-0001-0043) B-2 HBMU Increment 2; CET 11-173 (H94003-04-D-0001-0049) B-2 HBMU Increment 3 and CET 12-212 (H94003-04-D-0001-0053) B-2 HBMU Increment 4. Fair opportunity was given to all ATSP Contractors on order H94003-04-D-0001-0038, the original order. The other three B-2 HBMU efforts (H94003-04-D-0001-0043, H94003-04-D-0001-0049 and H94003-04-D-0001-0053) were awarded with an exception to fair opportunity. The B-2 HBMU Increment 5 task proposed under this justification is a continuation of this effort to initially augment, and then replace existing test systems for the TELS prime mission hardware LRUs and SRUs. LM Owego NY is unique in having the technical personnel who fully understand the operation of the existing test systems and the newly designed B-2 HBMU, as well as the infrastructure to support the development and sustainment of the B-2 HBMU. Benefits of modernizing the B-2 HBMU include enhanced performance, higher reliability, reduced obsolescence effects, and reduced life-cycle maintenance costs. RATIONALE FOR FOLLOW-ON EXCEPTION TO FAIR OPPORTUNITYLM Owego NY is the original equipment manufacturer, current source of repair for the equipment and holder of all data and processes necessary for the effort. The data/documentation and processes are proprietary. This contractor has declined to sell system data rights, making competition impracticable. No other supplier (contractor) is capable (nor would be capable) of providing the specialized background, expertise, or services required at the level and quality necessary to meet the requirements without incurring substantial duplication of cost and unacceptable schedule delays.OTHER ALTERNATIVES CONSIDERED:The Government has reviewed and inventoried the applicable technical data package (drawings, specifications, documentation, etc.) and determined that they are proprietary to Lockheed Martin, and such, will require a sole source engineering effort. IMPACT IF THIS EXCEPTION TO FAIR OPPORTUNITY IS NOT APPROVED:Not pursuing this J&A will render the B-2 aircraft mission incapable, the B-2 is a critical US Air Force asset; failure to complete the HBMU effort in a timely manner will result in the aircraft being grounded, which will negatively impact the Air Force's mission and the nation's security.VI. Effort to Obtain Competition: None. Based on information in above paragraph 5, competition for this action was not feasible. VII. Actions to Increase Competition: NoneVIII. Market Research: The Government has accomplished market research and reviewed and inventoried the applicable technical data package (drawings, specifications, documentation, etc.) and determined that they are proprietary to LM Owego NY and such, will require a sole source engineering effort. This contractor has declined to sell the data rights to the technical data package. IX. Interested Sources: No other known sources.X. Other Facts Supporting the Exception to Fair Opportunity: None.XI. TECHNICAL CERTIFICATION:I certify that the supporting data under my cognizance which are included in the justification are accurate and complete to the best of my knowledge and belief. XII. FAIR AND REASONABLE COST DETERMINATION: "I hereby determine that the anticipated cost or price to the Government for this contract action will be fair and reasonable." Actions to insure reasonableness of the price will be accomplished using procedures and criteria contained in FAR 15.4. Cost and pricing data will be requested. Detailed documentation and justification of price reasonableness will be set forth in the Price Negotiation Memorandum.XIV. CONTRACTING OFFICER CERTIFICATION: "I certify that this J&A is accurate and complete to the best of my knowledge and belief."
