Description
The NASA Exchange-MSFC, more commonly known as the Marshall Exchange, plans toprovide private developers an opportunity to lease federal land controlled by NASAsMarshall Space Flight Center (MSFC), Redstone Arsenal, Alabama, in order to (1) providefood service and other quality of work life conveniences to satisfy the NASA-MSFC andsurrounding Redstone Arsenal workforce; and (2) to generate funding for the MarshallExchange to assist its purpose of providing morale, wellbeing, and recreationalactivities and events.Constraints to federal spending have significantly reduced NASAs and Redstones abilityto construct non-mission related facilities, including cafeterias or space forconcessionaire operations. For example, MSFC recently completed the construction ofthree buildings (two engineering office buildings and one laboratory building) toreplace, modernize, and consolidate a number of old, deteriorated buildings. The threenew buildings house more than 1,100 employees. However, a planned cafeteria for the newcomplex was cancelled due to higher than expected construction costs of the officebuildings. As a result, the Marshall Exchange plans to pursue, through appropriateprocesses and approval authorities, a long term lease with a retail developer toconstruct, manage, and operate dining and other convenience services, to provide neededfood services, improve the quality of work life, and reduce employee time away from work.The property identified for this opportunity has no planned NASA mission use and consistsof approximately 25.68 acres within a lease area defined by the propertys right-of-wayboundaries. The property has more than 1,300 feet of footage on the south side of MartinRoad, is west of Fowler Road, and adjacent to and west of Marshalls new Building 4600complex. NASA has the authority under 51 U.S.C. 20113(c) (National Aeronautics and Space Act) tolease NASA property to others and to provide, by contract or otherwise, for cafeteriasand other necessary facilities for the welfare of employees of the Administration at itsinstallations.Furthermore, NASA Exchanges have the authority to use and acquire realproperty and facilities to achieve Marshall Exchange objectives.Based on information provided in response to this solicitation, the Marshall Exchange,with assistance from its advisors, will select a Developer based on an objective bestvalue determination considering only the information submitted in response to thisSpecial Notice. Following selection of a Developer, the Marshall Exchange will issue aConditional Notice of Lease award. Next the Marshall Exchange and the Developer willcoordinate to produce a Business and Leasing Plan. In developing the Plan, the MarshallExchange and the Developer will work together to meet the objectives of the MarshallExchange in a way to insure the Developers success in creating a long term and viableretail development. Finally, the Marshall Exchange will work with the Developer toprepare and obtain approvals for an implementing ground lease and other documentsrequired to implement the Plan.The successful Offeror/Developer will operate and maintain the development and providecash consideration to the Marshall Exchange no less than the fair market value of theleased land. The Marshall Exchange is confident that there is a sizeable opportunity foritself and a private developer/property manager to partner and work together to receivesignificant benefits. Specifically, the Developer has the opportunity to receive amarket rate return from development activities, leasing of rentable square footage, andcontinuing property management of real estate assets while providing a service to meetthe Marshall Exchanges objectives.It is anticipated that an industry forum and site visit for this opportunity will beconducted on June 5, 2012 beginning at 8:15 am CDT. The location to meet is the parkinglot of the Marshall Exchange Activities Building, Building 4316. Prospective Offerorswill board buses from that location for briefings and site tours. The forum is scheduledto end approximately 2:30 pm CDT. Time for lunch at an on-site MSFC cafeteria isincluded.The solicitation and any documents related to this procurement will be available on-line.The solicitation will be accessible from both the NASA Acquisition Internet Service(NAIS) at http://prod.nais.nasa.gov and Federal Business Opportunities (FedBizOpps.gov)at https://www.fbo.gov. It is the Offeror's/Developers responsibility to monitor the Internet site for therelease of the solicitation and amendments (if any). Potential Offerors/Developers willbe responsible for downloading their own copy of the solicitation and amendments (ifany). All contractual and technical questions must be submitted in writing by email toedwin.jones@nasa.gov. Telephone questions will not be accepted except in those casesnoted in the solicitation. Because this opportunity is being provided under the authority of the NASA Exchange MSFC, an instrumentality of the US Government operating with non-appropriated(non-taxpayer) funding, this opportunity will not be negotiated using Federal AcquisitionRegulations (FAR) nor NASA FAR Supplement regulations.
