Description
JUSTIFICATION AND APPROVAL FOR USE OF OTHER THAN FULL AND OPEN COMPETITION 1. Contracting Activity. Naval Air Systems Command (NAVAIR) Headquarters 2. Description of the Action Being Approved. The proposed contract action is for a firm fixed price (FFP) contract with ITT Electronic Systems for six (6) United States Navy (USN) ALQ-214 systems for the Integrated Defensive Electronic Countermeasures (IDECM) Program. The ALQ-214 system is currently in Full Rate Production (FRP). The proposed contract action is FRP-8. 3. Description of Supplies/Services. The IDECM ALQ-214 FRP contracts procure the ALQ-214 for the F/A-18 for the USN. In addition to the ALQ-214, ITT Electronic Systems will provide associated data in support of these items. The IDECM ALQ-214 exchanges threat information with the Radar Warning Receiver (RWR) and functions as the integrated Radio Frequency Countermeasure (RFCM) resource controller. This procurement will be funded with Fiscal Year (FY) 2010 Aircraft Procurement, Navy (APN)-5 and FY 2011 APN-5 and APN-1 funds. The total estimated value of the procurement covered by this J&A is $_____. The APN-5 and APN-1 contract funding profiles are shown in the table below. See Appendix A for Estimated Dollar Value 4. Statutory Authority Permitting Other Than Full and Open Competition. 10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements. 5. Rationale Justifying Use of Cited Statutory Authority. ITT Electronic Systems is the sole designer, developer and manufacturer of the RFCM ALQ-214 subsystem. ITT Electronic Systems is the only qualified source with the comprehensive knowledge of the associated design requirements and tradeoffs that can perform the Government's FRP requirements for the ALQ-214 subsystem, while maintaining commonality and schedule. ITT Electronic Systems has gained a unique and in-depth knowledge of the subsystem's design and manufacturing complexities and the subsystem's operational requirements due to previous and ongoing contractual efforts. ITT Electronic Systems has the facilities, skilled workforce, equipment, technical data and computer software in place to produce the FRP units within the Government's required delivery schedule to support F/A-18E/F deployments. The Government received a limited ALQ-214 data package from ITT in 2007. The received technical data package documents the as-built hardware configuration current at that time, however it does not contain all of the information required to allow a firm other than ITT to produce the ALQ-214. The delivered data package does not provide the level of data necessary for competition. The necessary data and rights needed to competitively award the requirements contemplated under this contract could be purchased for approximately $_____. This amount, which includes Acceptance Test and System Integration equipment drawings, was determined via a ROM provided by ITT in their email dated 06 August 2010. This amount is economically unfeasible and data/rights would not be received until 2012 which is not in time to compete the effort contemplated under this contract. 6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable. The proposed contract was synopsized on the FEDBIZOPS website on 26 March 2010 and only ITT Electronic Systems expressed an interest in this requirement. No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than ITT Electronic Systems to provide the required ALQ-214 systems. 7. Determination of Fair and Reasonable Cost. In accordance with FAR 15.402, the Contracting Officer shall ensure that the ALQ-214 systems provided under this contract are procured at a fair and reasonable price. The Contractor will submit a formal price proposal with certified cost or pricing data and sufficient information to support the accuracy and reliability of the estimate. ITT Electronic Systems proposal will be reviewed by experienced technical analysts, cost analysts and contract specialists with the aid of necessary field pricing support by DCMA and DCAA. The Contracting Officer will utilize cost and price analysis as the basis for negotiating a fair and reasonable price. 8. Actions to Remove Barriers to Future Competition. For the reasons set forth in paragraph 5, NAVAIR has no plan at this time to compete future contracts for the ALQ-214 systems covered by this J&A. If another potential source emerges, NAVAIR will assess whether competition for future requirements is feasible.
