- Integrated Precision Ordnance Delivery System (IPODS) Phase II Evaluation Worksheets BROAD AGENCY ANNOUNCEMENT (BAA) BAA-RWK-11-0001 NAICS CODE: 541712 FEDERAL AGENCY NAME: AIR FORCE RESEARCH LABORATORY, MUNITIONS DIRECTORATE, CONTRACTING DIVISION (AFRL/RWK), EGLIN AFB, FL BAA TITLE: INTEGRATED PRECISION ORDNANCE DELIVERY SYSTEM (IPODS) PHASE II through Phase IV BAA TYPE: INITIAL ANNOUNCEMENT BAA NUMBER: BAA-RWK-11-0001 PROPOSAL DUE DATE AND TIME: Phase II Proposals are due by 2:00 PM Central Time on 24 Jan 2011. Deliver to: AFRL/RWK, Attn: Michael Rivera, 101 West Eglin Blvd, Suite 337, Eglin AFB FL 32542-6810. Proposals received after this due date and time shall be governed by the provisions of FAR 52.215-1(c)(3). See Section IV for additional information. It should be noted that this installation observes strict security procedures to enter the facility. These security procedures are NOT considered an interruption of normal Government processes, and proposals received after the above stated date and time as a result of security delays will be considered "late". Furthermore, note that if offerors utilize commercial carriers in the delivery of Proposals, they may not honor time-of-day delivery guarantees on military installations. Early Proposal submission is encouraged. I. PROGRAM DESCRIPTION: The Air Force Research Laboratory Munitions Directorate, Contracting Division (AFRL/RWK) is soliciting cost and technical proposals for the Flight Vehicle Integration Branch (AFRL/RWAV) on the following research effort: Integrated Precision Ordnance Delivery System (IPODS) Phase IIA and Phase IIB, Preliminary Development and Component Test. Phase IIB must be submitted as an option. The Government is requesting proposals for new, innovative and creative solutions to demonstrate the feasibility of the technology discussed in this BAA. It is anticipated that technical and cost proposals will be evaluated with the intent of negotiating two contracts for Phase IIA. After 12 months, the Government will down-select to one contractor with the intent to exercise the Phase IIB option to the winning contractor to continue the preliminary development and component testing of the IPODS technologies. It is the Government's intent to award the remaining Phases (III-IV) to the Phase IIB winner; however, the Government reserves the right to award one or no contracts pursuant to this BAA. Upon completion of Phase IIB, it is anticipated that Phase III would further refine the design for a Detailed Development and System Level Test. Additionally, there may be a Captive Flight Demonstration under an optional Phase IV. This is a full and open competition; not limited to the offerors awarded the IPODS Phase I contracts. (1) Introduction: IPODS serves as a technology development and maturation program for a weapon needed to attack tunnel targets and hold at risk critical mission areas behind blast doors. These technologies will also provide alternate payload delivery capabilities in areas to be determined. (2) Program Objective: The fundamental objective of the IPODS Program is to advance component technologies for an airborne released, highly maneuverable weapon capable of defeating internal tunnel defenses and mission areas of tunnels. The IPODS shall be compatible with multiple Air Force aircraft using existing carriage hardware. Key technical tasks of Phase IIA and IIB include preliminary development and component level testing. Phase III includes detailed development and system level testing of the IPODS concept and the Optional Phase IV is a captive flight demonstration. (3) Technical Requirements: IPODS will be designed to, and evaluated on, its ability to meet the performance requirements listed in the System Requirements Document (SRD), which is found in Annex A. Additional technical information and aircraft compatibility information is found in Annex B. A Certified DD Form 2345, Militarily Critical Technical Data Agreement, is required to be submitted to the Deputy Program Manager in order to receive the Annexes. See Section/Paragraph I(9)(d) for further details on how to request the Annexes. (4) Program Tasking: The program is anticipated to include four phases. a) Phase IIA Preliminary Development and Component Test: Refer to Section/Paragraph V for evaluation criteria details. See Section/Paragraph II(3) for anticipated Periods of Performance. Under Phase IIA, the contractor shall accomplish the preliminary development and component testing of the IPODS technologies. Phase IIA tasks may include but are not limited to the following activities: (i) Preliminary Hardware Design (ii) Preliminary Software Architecture Design (iii) Structural Analysis (iv) Preliminary Wind Tunnel Testing (v) Computerized Physical Fit on Threshold USAF Aircraft (vi) Risk Assessment (vii) Configuration Management Plan (viii) Systems Engineering Management Plan The offeror is not required to accomplish the above activities, but shall generate a Statement of Work (SOW) in accordance with the offeror's proposed solution to the Government-stated objectives, the technical requirements and the following Phase IIA exit criteria. b) Phase IIA Exit Criteria: The following Program Reviews will be conducted by the government team to assess the contractors' ability to achieve the system requirements. (i) Phase IIA Systems Requirements Review (SRR) shall occur in month 2 of Phase IIA at the contractor's facilities. This SRR is a system-level review conducted to ensure that system requirements have been completely and properly identified and that a mutual understanding between the government and contractor exists. (ii) Phase IIA Interim Design Review shall occur in month 6 of Phase IIA at Eglin AFB, FL. This multi-disciplined technical review is to ensure that each subsystem is ready to proceed into detailed design. In this review the team will assess the system preliminary design and ensure that each function in the functional baseline has been allocated to one or more system configuration items. (iii) Phase IIA Final Review shall occur in month 12 of Phase IIA at the contractor's facilities. In this multi-disciplined technical and programmatic review the contractors will present a Technical Readiness Level (TRL) Assessment, a Technical Maturation Test Plan and the current design along with any supporting analysis and/or testing. During these Program Reviews, the Government will assess the Scientific/Technical merit and Risk Assessment for Phase IIB. Results of these reviews shall be the decision point for down-select and exercise of the Option for Phase IIB to the winner. Deliverables: Technology Readiness Level (TRL) Assessment and Data submittals listed in Section/Paragraph I(6). c) Option Phase IIB Preliminary Development and Component Test: Refer to Section/Paragraph V for evaluation criteria details. See Section/Paragraph II(3) for anticipated Periods of Performance. Under Phase IIB, the contractor shall continue to accomplish the preliminary development and component testing of the IPODS technologies. Phase IIB tasks may include but are not limited to the following activities: (i) Hardware Design (ii) Software Architecture Design (iii) Structural Analysis (iv) Preliminary Wind Tunnel Testing (v) Computerized Physical Fit on Threshold USAF Aircraft (vi) Risk Assessment (vii) Configuration Management Plan (viii) Systems Engineering Management Plan The offeror is not required to accomplish the above activities, but shall generate a Statement of Work (SOW) in accordance with the offeror's proposed solution to the Government-stated objectives, the technical requirements and the following Phase IIB exit criteria. d) Phase IIB Exit Criteria: The following Program Reviews will be conducted by the government team to assess the contractors' ability to achieve the system requirements. This multi-disciplined technical review is to ensure that the system is ready to proceed into prototype detailed design. In this review the team will assess the prototype design and ensures that each configuration item has been allocated to the system's product baseline. (ii) Phase IIB Final Review shall occur in month 12 of Phase IIB at Eglin AFB, FL. In this multi-disciplined technical and programmatic review the contractor will present a Technical Readiness Level (TRL) Assessment, a Technical Maturation Plan and the current design along with any supporting analysis and/or testing. During these Program Reviews, the Government will assess the Scientific/Technical merit and Risk Assessment for Phase IIB. Results of these reviews shall be the decision point for issuing a Request For Proposal (RFP) for Phase III. Deliverables: Technology Readiness Level (TRL) Assessment and Data submittals listed in Section/Paragraph I(6). e) Phase III Detailed Development and System Level Test: See Section/Paragraph II(3) for anticipated Period of Performance. Phase III may include system level tests, weapon lethality tests requiring a Pre-award survey, and aircraft integration tasks. f) Optional Phase IV Captive Flight Demonstration: See Section/Paragraph II(3) for anticipated Period of Performance. Phase IV may include a captive flight demonstration. (5) Management: The contractor shall be responsible for meeting all requirements, including but not limited to: cost, technical performance, schedule, and security. The contractor shall communicate the technical and programmatic status through Data Requirements submissions discussed in paragraph I(6) and scheduled meetings discussed in paragraph I(7). In addition to the monthly status report, informal program status interchanges (such as weekly teleconferences) are encouraged. (6) Data Requirements: A Section K, Certifications and Representations has been posted with this BAA and must be completed and delivered with the Technical and Cost Proposals. It is anticipated that all data delivered under any resulting award will be delivered with unlimited rights; however, different rights may be negotiated as appropriate. Additionally, the Technology Readiness Level (TRL) assessment, the Technology Maturation Test Plan, Design Drawings and the Final Report shall be non-proprietary and will be provided for use by the Government for any future acquisition programs. If less-than-unlimited rights are proposed, the contractor shall be required to deliver data with less-than-unlimited rights in a separate appendix to the final report. For Phase III, Technical Interchange meetings shall be conducted semi-annually and/or as deemed necessary by the Government or contractor. The meetings shall alternate between the contractor's facility and Eglin AFB, FL. A Phase III Final Program Review shall be conducted at Eglin AFB, FL. If the optional Phase IV is awarded, a Flight Readiness Review shall be conducted at Eglin AFB, FL. For all phases, the contractor may propose to conduct or participate in other meetings with subcontractors, Government agencies, or third parties, as deemed necessary. The contractor must have in place the methods necessary to provide two-way secure email transmission between the Government, contractor and all subcontractors, etc. This capability provides for day to day secure email and the transmission of data electronically. There may be instances where secure voice communication will be required between the Government and contractors. (8) Other Requirements: a) Program Security Requirements: Portions of this program will be classified at the Secret level and a DD Form 254 will apply to the awarded contract(s). Thus, offerors must verify their Cognizant Security Office information is current with Defense Security Service (DSS) at www.dss.mil. b) Emissions Security (EMSEC) requirements will apply. Generation of classified material is authorized only on equipment approved for classified processing by Air Force EMSEC authorities. The Government will provide Security Classification Guides at contract award. c) International Traffic in Arms Regulations (export control) will apply to this effort. d) It is anticipated that all data delivered under any resulting award will be delivered with unlimited rights; however different rights may be negotiated as appropriate. The contractor shall identify data rights assertions, licenses, patents, etc. that apply to any proprietary materials, technical data, products, software, or processes to be used by the prime or subcontractor(s) in the performance of this program; and shall address acquisition of data rights or licenses, or expected recoupment of development costs for those proprietary items that will be integral to the IPODS design. The contractor shall specifically address data rights/proprietary issues at each meeting discussed in Section/Paragraph I(7). The contractor shall specifically address inventions/patents identified in the performance of the program at each meeting discussed in Section/Paragraph I(7). e) Subcontracting Plans: Subcontracting plans will be required in accordance with FAR 19.702 Small Business Programs. (9) Other Information: a) Government Furnished Property (GFP): The Government may assist in providing GFP, based on availability, if requested. Therefore, the offeror shall include a detailed list of Government resources, with their associated approximate value (if known), required to execute a contract in a timely and cost effective manner. b) Base Support/Network Access: It is not anticipated, but offeror should identify any Base Support/Network Access they believe is necessary. c) Hazardous Materials: The contractor must identify any hazardous materials to be used in performance of this effort. d) Request for Annexes: To receive Annex A and Annex B, the offeror must be certified to receive military critical technical data under the US/Canada Joint Certification Program (JCP) (www.dlis.dla.mil/jcp). To request these annexes, forward a written request for release of export-controlled data related to the IPODS program to Ms Virginia Swindell, Deputy Program Manager, via mail or fax (see Section/Paragraph VII(2) - Agency Contacts). The written request shall include: (i) Certified copy of a DD Form 2345, Militarily Critical Technical Data Agreement (ii) Commercial and Government Entity (CAGE) code (iii) Name, phone, email, and fax of the person to receive the annexes The request should be provided early enough to allow the Government up to 14 calendar days to provide the documents. Documentation will not be provided unless requested in strict accordance with these instructions. II. AWARD INFORMATION: (1) Type of Contract/Anticipated Number of Awards: The Government anticipates negotiating approximately two Cost-Plus-Fixed-Fee (CPFF) contracts for the Phase IIA effort with a down-select to one contractor for Phase IIB - Phase IV; however, the Government reserves the right to award one, or no contracts pursuant to this BAA. Phase IIB shall be proposed as an option with Phase IIA and shall be negotiated with the Phase IIA award. At approximately the 12-month point of Phase IIA a down-select decision shall be made. It is anticipated that a notice of intent to exercise the option to continue performance under Phase IIB shall be sent to one of the two contractors performing under Phase IIA. At approximately the 13-month point of Phase IIA, the contractor not selected to perform the Phase IIB effort shall begin preparing their Final Report. If desired by the Government and prior to the end of Phase IIB, a Request For Proposal for Phase III shall be sent to the Phase IIB contractor. If desired by the Government, and prior to the end of Phase III, a Request For Proposal for Phase IV shall be sent to the Phase III contractor. (2) Anticipated Award Date: The Government expects to receive Proposals for Phases IIA and IIB only within approximately 45 days of publication of this BAA, and to negotiate and award two contracts within 8-9 weeks thereafter (Apr 2011). (3) Anticipated Periods of Performance: Contractor Awarded Phase IIA only: Phase IIA (for non-selected contractor) is expected to be 16 months (13 months for the technical effort, 1 month for first submission of Final Report, 2 months for revisions). Contractor Awarded Phase IIA and Down-selected for Remaining Phases: Phase IIA (for down-selected contractor) is expected to be 13 months (13 months for the technical effort, continue performance after exercise of option). Phase IIB is expected to be 16 months (13 months for the technical effort, 1 month for first submission of Final Report, 2 months for revisions). Phase III is expected to be 41 months (38 months for the technical effort, 1 month for first submission of Final Report, 2 months for revisions). Phase IV is expected to be 9 months (6 months for the technical effort, 1 month for first submission of Final Report, 2 months for revisions). (4) Anticipated Funding: Two awards are anticipated for Phase IIA with a maximum of $2.5M each. Anticipated funding for Phase IIB is $2.5M. Anticipated funding for Phase III is $12.3M and Phase IV is approximately $1.2M for a program total of $18.5 and a maximum of $20M. This funding profile is an estimate only and will not be a contractual obligation for funding. All funding is subject to change due to government discretion and availability. All potential offerors should be aware that due to unanticipated budget fluctuations, funding in any or all areas may change with little or no notice. Also, the maximum totals assume the inclusion of all test costs. If Government-conducted testing and/or Government facility/range use are proposed, the contractor shall include a Rough Order of Magnitude (ROM) estimate of the costs associated for such testing in their proposal and factor it into the maximum total cost. III. ELIGIBILITY INFORMATION: (1) Eligible Offeror/Applicants/Notice to Foreign-owned Firms: All applicants are potentially eligible, with the exception of foreign-owned offerors. A determination has been made for this solicitation, that all foreign participation at the prime contractor and subcontractor levels will be prohibited, with the exception of those with an appropriate Special Security Agreement (SSA) in place with the U.S. Government. Foreign or foreign-owned offerors should immediately contact the contracting office focal point identified in Section/Paragraph VII(1) for information if they contemplate responding. All correspondence must reference the title and BAA number. (2) Cost Sharing or Matching: Cost sharing is not a requirement. IV. PROPOSAL/APPLICATION AND SUBMISSION INFORMATION: (1) Application Package: THIS ANNOUNCEMENT CONSTITUTES THE ONLY SOLICITATION. WE ARE SOLICITING FORMAL PROPOSALS AT THIS TIME. (See Sections V and VI of this announcement for further details.) General: Proposals submitted shall be in accordance with this announcement. The Government intends to evaluate proposals and award some, all, or none of the proposals received without negotiation/discussion, however the Government reserves to right to negotiate with those offeror(s) whose proposal is selected for funding. A model contract for the Basic IDIQ contract and Task Order 0001 has been posted along with this BAA. Any exceptions to the Model Contract Terms and Conditions must be addressed in the cost proposal with rationale for the exceptions. However, be advised that the document awarded may include Contract Line Item Numbers (CLINs)/clauses/articles in addition to those in the models, and/or some of the CLINs/clauses/articles in the models may be deleted, or updated depending on the contractor's generated Statements of Work. Any additions or deletions will be clarified with the offeror prior to contract award. Offerors should be alert to any BAA amendments that may be published. The Government reserves the right to amend due dates or other data as necessary. Multiple Proposals within the purview of this announcement may be submitted by each offeror. All offerors should apply the restrictive notice prescribed in the provision at FAR 52.215-1(e), Restriction on Disclosure and Use of Data, to trade secrets or privileged commercial and financial information contained in their Proposals. Any classified material must be provided in a separate Annex and must be properly marked and handled as such. Any classified material shall be provided directly to Ms. Virginia Swindell (see Section/Paragraph VII (2)). For formal proposals, submit separate Technical and Cost Volumes, and mark them as valid for 180 days. Volume 1 should provide the Technical proposal, a risk assessment of the proposal, and should be unclassified, if possible. Volume 2, Cost Proposal, must be unclassified, shall address the price and cost details and any exceptions to the Model Contract. (2) Content and Form of Submission for Full Proposals: The paragraphs below indentify proposal format and content. Offerors must submit one-original, one paper copy, and one (1) electronic copy (on a CD or DVD) of both the Technical and Cost proposals. a) Volume 1- Technical Proposal: (i) Page Limitation: The Proposal shall be limited to 75 pages, prepared and submitted in Word format. Font shall be standard 10-point business font Arial or Times New Roman. Character spacing must be "normal," not condensed in any manner. Pages shall be single-spaced, single-sided, 8.5 by 11 inches, with at least one-inch margins on all sides. All text, including text in tables, must adhere to all font size and line spacing requirements listed herein. Font and line spacing requirements do not have to be followed for illustrations, flowcharts, drawings, and diagrams. Additionally, schedules may be submitted on 11 by 17 inch paper and counts as two pages. These exceptions shall not be used to circumvent formatting requirements and page count limitations by including lengthy narratives in such items. The page limitation covers all information except the cover page. Any pages in excess of the stated page limitation will be removed (after page 75) and will not be considered. (ii) The Technical Proposal shall fully address the approach in accomplishing the Program Objectives/Requirements of Section I above. The contractor must also provide a summary of relevant past and present capabilities and experience. Both corporate and individual experience should be addressed (See evaluation criteria in Section/Paragraph V). The offeror must provide sufficient technical discussion and technical detail to establish the soundness of the proposed approach; provide an adequate basis for assessing program technical cost and schedule risk; and form a sound basis for the cost proposed. This volume shall include an overarching Statement of Work (SOW) for the IDIQ Contract covering the major tasks planned for Phases II - IV. In addition, this volume shall include a detailed SOW for Task Order 0001; covering Phase IIA and Option Phase IIB. Both SOWs must be suitable for contract incorporation and must not include any proprietary information. Any questions concerning the technical proposal or SOW preparation shall be referred to the Programmatic/Technical Agency Contact cited in Section VII(2). The technical proposal shall also include an overall test plan, with a supporting test matrix and discussion, which identifies all contractor- and Government-conducted testing, as well as the facilities at which the testing is to occur. The contractor must demonstrate knowledge of the systems engineering process and make realistic assumptions of how the proposed technology enhances performance at the weapon system level; identify any perceived risks and identify any risk mitigation actions to be taken. b) Volume 2 - Cost Proposal: This BAA does not contain a common work statement; therefore, adequate price competition is not anticipated and Certified Cost or Pricing data shall be required in accordance with FAR 15.403. Cost proposals have no page limitations; however, offerors are requested to keep cost proposals under 100 pages as a goal. See FAR Table 15.2 for specific information for adequate cost proposal requirements. Cost proposal spreadsheets must be submitted in Microsoft Excel format. The formal cost proposal for Phase IIA and Option Phase IIB must include and segregate the contract costs by year, and also provide a total summary. The contract costs shall include, as a minimum, a labor category and man-hour breakdown, by task, including applicable labor rates, a cost element summary including labor, travel, other direct costs, consolidated bill of material, overheads, G&A, fee, etc., and reflecting all rates for the contract and data, and an expenditure schedule for the entire program. Proposals shall be submitted by major tasks, which will match the associated CLIN structure similar to that in the example Model Contract posted with this BAA. Phase IIB must be submitted as a Pre-priced Option that will be negotiated with Phase IIA. In addition, the offeror shall include estimates for the cost/value of any Government Furnished Property (GFP), and all costs expected to be incurred by the Government associated with providing the equipment, facilities and support necessary to meet the contractor's testing requirements. If other than unlimited data rights are asserted, then any costs associated with data rights shall be separately identified in the cost proposal. c) Cover Page: Both the Technical and Cost proposal must have a cover page with the following information: BAA Reference number "BAA-RWK-11-0001", Title of Paper, Period of Performance, Estimated Cost, Name/Address of Company, Commercial and Government Entity (CAGE) number, Dun & Bradstreet (D&B) Data Universal Numbering System (DUNS) number, Technical and Contracting Points of Contact (phones, fax and emails). The Cover page is NOT included in the page count. (3) Funding Restrictions: The cost of preparing Proposals in response to this announcement is not considered an allowable direct charge to any resulting contract or any other contract, but may be an allowable expense to the normal bid and proposal indirect cost specified in FAR 31.205-18. (4) Contractual Authority: Offerors are advised that only the Contracting Officer is legally authorized to contractually bind or otherwise obligate the Government. The Government reserves the right to award one, multiple, or no contracts, based on the proposals received and the requirements of the Government. V. PROPOSAL/APPLICATION REVIEW INFORMATION: (1) Phase IIA Proposal Evaluation Criteria: Phase IIA proposals will be evaluated as to their projected success in achieving the objectives/requirements outlined in Section I of this BAA, utilizing the Factors and Subfactors below. Factor 1 through Factor 3 shall be used as the evaluation criteria for the Phase IIA selection. Additionally, a risk assessment (See Section/Paragraph V(1)(d)) will be made of the offeror's proposals, and selections will be made based on the Best Value to the Government. Awards may be made without discussions. Proposals will be evaluated through a peer or scientific review process using the following evaluation criteria. Factors and Subfactors identified below are of equal importance. a) Phase IIA Factor (1) Scientific/Technical Merit Subfactor (1)(i) Soundness and scope of offeror's proposed technical approach and consistency with established systems engineering practices as described in Defense Acquisition Guidebook Chapter 4 (https://acc.dau.mil/CommunityBrowser.aspx?id=332951) Subfactor (1)(ii) Extent to which the offeror demonstrates that the defined requirements (See Section I) can be accomplished with the proposed technology Subfactor (1)(iii) Scope, traceability and feasibility of proposed analysis and test plans b) Phase IIA Factor (2) Capabilities and Experience Subfactor (2)(i) Personnel/Management: Experience and capabilities of key personnel (both technical and management); experience and capabilities to manage technical risks, control cost and schedule. Subfactor (2)(ii) Facilities, equipment and techniques necessary to accomplish the project. Subfactor (2)(iii) Subcontract Management: Experience and capabilities to manage subcontractor performance, cost and schedule; nature and extent of reliance on subcontractor. Experience may be best indicated by work performed on programs of similar scope and complexity within the last 5 years. Experience should be relevant to the tasks identified in this BAA, to include design, development and flight testing of weapon systems. The government team may request supplemental historical information if required to confirm/verify experience and capabilities. c) Phase IIA Factor (3) Cost: Cost Realism and Cost Analysis: Subfactor (3)(i) Proposed cost is realistic for work to be performed and consistent with the methods of performance and material described in offerors' technical proposals. Subfactor (3)(ii) Proposed cost is fair and reasonable based on a cost analysis. The total cost to be evaluated will include the cost of performing the contract, the cost of testing, and any applicable offsets for GFP or acquisition of data rights. d) Risk Assessment: Risk will be assessed at each Subfactor level as part of the evaluation of the above evaluation criteria. Risk relates to the identification and assessment of the risks associated with an offeror's proposed approach as it relates to accomplishing the proposed effort. Tradeoffs of the assessed risk will be weighed against the potential payoff. The following definitions will be used during the risk assessment: (i) High: Likely to cause significant disruption of schedule, increase cost, or degradation of performance. Risk may be unacceptable even with special contractor emphasis and close Government monitoring. (ii) Moderate: Can potentially cause some disruption of schedule, increase cost, or degradation of performance. Special contractor emphasis and close Government monitoring will probably be able to overcome difficulties. (iii) Low: Has little potential to cause disruption of schedule, increase cost, or degradation of performance. Normal contractor effort and normal Government monitoring will probably be able to overcome difficulties. (2) Review and Selection Process for Phase IIA: The technical and cost proposals will be evaluated at the same time and categorized as follows: a) Category I: Proposal is well conceived, scientifically and technically sound, pertinent to the program goals and objectives, and offered by a responsible contractor with the competent scientific and technical staff and supporting resources needed to ensure satisfactory program results. Proposals in Category I are recommended for acceptance (subject to availability of funds) and normally are displaced only by other Category I proposals. b) Category II: Proposal is scientifically or technically sound, requiring further development and is recommended for acceptance, but at a lower priority than Category I. c) Category III: Proposal is not technically sound or does not meet agency needs. (3) Phase IIB Down-selection Evaluation Criteria: The down-selection decision will be based on the Best Value to the Government. Awards may be made without discussions. Scientific/Technical Merit will be evaluated through a peer or scientific review process using the Factor and Subfactors below. All Subfactors are of equal importance. During the Phase IIA Program Reviews, the Government team shall use the Subfactors below to assess the contractors' ability to achieve the system requirements. Additionally, a risk assessment (See Section/Paragraph V(1)(d)) will be accomplished. Results of the Government assessments shall be the decision point for down-select and exercise of the Option for Phase IIB to the winner. AWARD ADMINISTRATION INFORMATION: (1) Award Notices for Proposals: Offerors will be notified whether their proposal is recommended for award, by letter or e-mail. The notification is not to be construed to mean the award of a contract is assured, as availability of funds and successful negotiations are prerequisites to any award. The Government reserves the right to award one, multiple, or no contracts pursuant to this BAA. Offerors may request status of their Proposal no earlier than 45 days after submission. (2) Administrative and National Policy Requirements: The offeror will require a Secret facility clearance and safeguarding capability; therefore, personnel identified for assignment to a classified effort must be cleared for access to Secret information at the time of award. In addition, the offeror may be required to have, or have access to, a certified and Government-approved facility to support work under this BAA. Data subject to export control constraints may be involved and only firms holding certification under the US/Canada Joint Certification Program (JCP) (www.dlis.dla.mil/jcp) are allowed access to such data. OTHER INFORMATION: (1) Clauses: As of the date of this BAA all required clauses below and in the model contract are considered current and any clauses found to be obsolete prior to contract award shall be updated. (2) Support Contractors: Only Government employees will evaluate the proposals for selection. AFRL has contracted for various business and staff support services, some of which require contractors to obtain administrative access to proprietary information submitted by other contractors. Administrative access is defined as "handling or having physical control over information for the sole purpose of accomplishing the administrative functions specified in the administrative support contract, which do not require the review, reading, or comprehension of the content of the information on the part of non-technical professionals assigned to accomplish the specified administrative tasks." These contractors have signed general non-disclosure agreements and organizational conflict of interest statements. The required administrative access will be granted to non-technical professionals. Examples of the administrative tasks performed include: a. Assembling and organizing information for R&D case files; b. Accessing library files for use by government personnel; and c. Handling and administration of proposals, contracts, contract funding and queries. Any objection to administrative access must be in writing to the Contracting Officer and shall include a detailed statement of the basis for the objection. (3) Communication: Dialogue between prospective offerors and Government representatives is encouraged until submission of Proposals. Discussions with any of the points of contact shall not constitute a commitment by the Government to subsequently fund or award any proposed effort. Only Contracting Officers are legally authorized to commit the Government. (4) Debriefings: When timely requested, a debriefing will be provided. The debriefing process will follow the time guidelines set out in 10 USC 2305 (b)(5), but the debriefing content may vary to be consistent with the procedures that govern BAAs (FAR 35.016). (5) Wide Area Work Flow Notice: Any contract award resulting from this announcement will contain the clause at DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports (Mar 2008), which requires electronic submission of all payment requests. Effective 01 October 2006, the Department of Defense adopted Wide Area Work Flow-Receipt and Acceptance (WAWF-RA), as the electronic format for submission of electronic payment requests. Any contract resulting from this announcement will establish a requirement to use WAWF-RA for invoicing and receipt/acceptance, and provide coding instructions applicable to this contract. (6) Item Identification and Valuation: Any contract award resulting from this announcement shall contain the clause at DFARS 252.211-7003, Item Identification and Valuation, (Aug 2008) which requires unique item identification and valuation of any deliverable item such as an IPODS prototype for which the government's unit acquisition cost is $5,000 or more; subassemblies, components, and parts embedded within an item valued at $5,000 or more; or items for which the government's unit acquisition cost is less than $5,000 when determined necessary by the requiring activity for serially managed, mission essential, or controlled inventory. Also included are any DoD serially managed subassembly, component, or part embedded within a delivered item and the parent item that contains the embedded subassembly, component, or part. Per DFARS 211.274-3 policy for valuation, it is DoD policy that contractors shall be required to identify the government's unit acquisition cost for all items delivered, even if none of the criteria for placing a unique item identification mark applies. Therefore, your proposal must clearly break out the unit acquisition cost for any deliverable items. Per DFARS 211.274-3 policy for valuation, "the government's unit acquisition cost is the contractor's estimated fully burdened unit cost at time of delivery to the government for cost type or undefinitized line, subline, or exhibit line items" (per DoD, "fully burdened unit costs" to the government would include all direct, indirect, G&A costs, and an appropriate portion of fee). (7) Forward Pricing Rate Agreements: Offerors who have forward pricing rate agreements (FPRA) should submit them with their proposal. (8) Pre-Award Clearance: Pursuant to FAR 22.805, a pre-award clearance is expected to pertain to this BAA. (9) Limitation on Pass-Through Charges: Any contract award resulting from this announcement may contain the clause at FARS 52.215-23, Limitation on Pass-Through Charges, (Oct 2009) which requires the contractor to identify in its proposal the percentage of effort to be performed by the prime contractor and the percentage expected to be performed by each subcontractor. If the contractor intends to subcontract more than 70% of the total cost of work under the contract or task order, then it shall identify the amount of the contractor's indirect costs and profit applicable to the subcontract work, and a description of the value added by the contractor. If any subcontractor intends to subcontract to a lower tier subcontractor more than 70% of the total cost of its work, then it shall identify the amount of the subcontractor's indirect costs and profit applicable to the lower tier subcontract work, and a description of the value added by the subcontractor. (10) On-Line Representations and Certifications: To be eligible for an award potential offerors must submit annual Electronic Representations and Certifications, otherwise known as On-line Representations and Certifications Application (ORCA) via the Business Partner Network (BPN) at http://www.bpn.gov/orca. These FAR level representations and certifications are required in addition to the representations and certifications specific to this acquisition. Before submitting the Electronic Representations and Certifications, contractors must be registered in the Central Contractor Registration (CCR) Database. (12) Post-Award Small Business Program Representation: As prescribed in FAR 19.308, FAR Clause 52.219-28, "Post-Award Small Business Program Representation (Apr 2009)," is incorporated by reference in this solicitation. This clause will be contained in any contracts resulting from this solicitation. This clause requires a contractor to represent its size status when certain conditions apply. The clause provides detail on when the representation must be complete and what the contractor must do when a representation is required. (13) Reporting Executive Compensation and First-Tier Subcontract Awards: Any contract award resulting from this announcement shall contain the clause at FAR 52.204-10, Reporting Executive Compensation and First-Tier Subcontract Awards in accordance with FAR 4.1403.
