Description
Pursuant to the authority granted to the United States Department of Energy ("DOE") under Title XVII of the Energy Policy Act of 2005, 22 U.S.C. 16511-16514 ("Title XVII"), as amended by section 406 of the American Recovery and Reinvestment Act of 2009, DOE's Loan Guarantee Program ("Loan Guarantee Program") is seeking a major financial institution to perform the functions collectively identified as Administrative Agent functions with respect to loans supported by loan guarantees issued by DOE. The Administrative Agent functions may include, without limitation: Administrative Agent; Collateral Agent; Custodian; Registrar, Paying and Transfer Agent; Depository Bank; Facility Agent; Intercreditor Agent; and Insurance Advisor. It is anticipated that the loan guarantees and underlying loans requiring these services will be those loans for which the Federal Financing Bank is the funding institution. This Invitation is not subject to the Federal Acquisition Regulation and will not be funded with appropriated funds. Consistent with market practice in commercial financings, each borrower shall be solely responsible under all circumstances for paying the fees and expenses of DOE's Administrative Agent pursuant to the terms and conditions of an Administrative Agent Fee Letter entered into at closing between each Borrower and the Administrative Agent in connection with its applicable guaranteed loan. Additional information on the Loan Guarantee Program, Title XVII, and loan guarantee solicitations issued to date can be found on the Loan Guarantee Program website, http://www.lgprogram.energy.gov. No telephone or email requests for the Invitation will be accepted. Firms interested in receiving a copy of the Invitation must register at the Department of Energy online procurement system known as FedConnect located at https://www.fedconnect.net/fedconnect/. No paper copies of the Invitation will be made available. Once registered, vendors must update their profile to include Department of Energy as an agency by which they wish to be notified of opportunities. Vendors can search for the opportunity within FedConnect and register as an interested party. For registration and vendor profile issues, please contact the FedConnect helpdesk at support@fedconnect.net or call 1-800-899-6665. A helpful user guide for getting started in FedConnect can be found as a PDF file on the FedConnect website at https://www.fedconnect.net/fedconnect/PublicPages/FedConnect_Ready_Set_Go.pdf. Interested firms will need to register in FedConnect in order to obtain a copy of the Invitation. The Invitation should be available on or around December 3, 2009.
