Description
Recovery Action:Due to the expiration of the contracts for legal services to support the Department of Energy's Advanced Technology Vehicles Manufacturing (ATVM) Loan Program, the DOE is proceeding to begin a new competition for the same ATVM services. This requirement includes communicating and coordinating with the DOE Office of General Counsel (OGC) to provide legal counsel (a) on programmatic aspects of the ATVM Loan Program and (b) on transactions proposed or consummated under the ATVM Loan Program. Contractor(s) shall review and evaluate loan applications and ensure that the negotiation and closing of loans made under the ATVM Loan Program are legally sufficient. In support of OGC, the Contractor(s) will work through OGC in close coordination with DOE and DOE's ATVM Loan Program and its contractor personnel in preparing, analyzing, and developing recommendations for the issuance of the loans and documenting, closing, monitoring and defending the loans. No telephone or email requests for the solicitation will be accepted. Firms interested in receiving a copy of the solicitation must register at the Department of Energy online procurement system known as FedConnect located at https://www.fedconnect.net/fedconnect/. No paper copies of the solicitation will be made available. Once registered, vendors must update their profile to include Department of Energy as an agency they wish to be notified of opportunities. Vendors can search for the opportunity within FedConnect and register as an interested party. A helpful user guide for getting started in FedConnect can be found as a PDF file on the FedConnect website. This solicitation will include a qualification criterion that firms must pass to move on for further evaluations. Offers will be eliminated from consideration without review if the offer fails to clearly demonstrate that the Offeror has experience negotiating, structuring, documenting, and closing three different complex financial transactions, each valued at $2 billion or more, involving either (i) the representation of lenders or guarantors or (ii) the financings of manufacturing facilities. Interested firms will need to register in FedConnect in order to obtain a copy of the solicitation. The solicitation should be available prior to November 30, 2009.
