April 30, 2009 To: All Requestors of the Prospectus for a Concession Business Opportunity for Guided Float Trips, Fishing Trips, Multi-Day Lake Trips and/or Guided Horseback Rides within Grand Teton National Park Re:Response to Questions, CC-GRTEXXX-10 Enclosed please find the National Park Service's response to questions submitted for the Grand Teton National Park, Prospectus for guided float trips, fishing trips, multi-day lake trips and/or guided horseback rides. Bain Question dated 4/13/2009 Is the NPS requiring 2008 tax info? The most current financial information should be provided. If 2008 financial information is not available then provide the most current two years that you have available. Include an explanation as to why 2008 financial information is not provided. Attachment BQuestions Received from Jim Genzer Questions dated 4/17/2009 Your existing and new contract requires Symbol 1-any "auto" coverage but that is not the way the policies have been insured in this office and I am fairly certain in the industry. The typical symbol used is Symbol 7-Specifically Described "Autos." The difference being simply that any auto owned by any entity (individual, partnership, corporation or LLC/LLP) is covered for liability insurance whether it is listed in the policy or not under Symbol 1. Under Symbol 7 you must have the vehicle, VIN number, etc listed in the policy declaration pages in order to have coverage. To my knowledge auto insurance companies have never used a Symbol 1 classification in the recreation insurance area for two reasons-first, they would potentially be picking up liability coverage for vehicles they know nothing about and are not charging a premium for their use and second, this particular type auto policy is for "private-livery" which means they are hauling people, typically in vans or buses, to or from various (recreational) activities and whose' cost is included in the activity fee. (Verses Public Livery which is a Taxi that hauls people around for a fee). My recommendation is that you do not specify a Symbol for the Commercial Auto coverage in these contracts. The standard concession contract language published in the Federal Register, Volume 65, No. 87, May 4, 2000, Department of the Interior, National Park Service, Standard Concession Contract, Revision; requires coverage for bodily injury or property damage arising out of the ownership, maintenance or use of "any auto," Symbol 1. These insurance requirements are in the existing Contracts and in the Prospectus, Draft Contract. The Draft Contract, Exhibit D, Insurance Requirements states, "Automobile Liability Insurance. Coverage will be provided for bodily injury or property damage arising out of the ownership, maintenance or use of "any auto," Symbol 1. (Where there are no owned autos, coverage applicable to "hired" and "non-owned" autos, "Symbols 8 & 9," shall be maintained.) Bodily Injury and Property Damage (combined) $5,000,000 per occurrence**or those minimum limits required by the Umbrella/excess liability insure" The National Park Service knows this insurance is attainable based on the Certificates of Insurance received from three separate Wyoming based insurance companies. Attachment CQuestions Received from Colby Colonel Questions dated 4/21/2009 Another question pertaining to prospectus GTRE020-10, Sub factor 4a asks for audited financial statements and states: 1.Provide financial statements for the two most recent fiscal years, with all notes to the financial statements. Provide the financial statements for the Offeror and all parent companies. Provide personal financial statements for an owner of a sole proprietorship, general partners in a partnership, and members of a limited liability company. a.Provide audited financial statements, with all notes to the financial statements. OR b.If audited financial statements are not available or not representative of the financial history, present an explanation in sufficient detail to enable a reviewer to fully understand the reasons why audited statements are not available. In addition, provide compelling evidence, accompanied by a description, of your financial track record (for example, reviewed statements, including explanations of the reason the statements were not audited and notes to the financial statements). Since the current contract holder has not been required to have audited or reviewed financial statements in the past, would a compilation with footnotes be acceptable? The explanation for the reason they were not audited or reviewed is simply that it has not been required given the gross receipts. All financial statements have been compiled by a CPA and submitted as per the contract. So again my question is would a compiled set of financial statements with footnotes fulfill the requirement? Financial statements with footnotes compiled by a CPA would fulfill the request for information in the Prospectus. The financial statements and notes to the financial statements must be presented with sufficient detail to enable a reviewer to fully understand the financial statements. Attachment DQuestions Received from Rhett J. Bain Questions dated 4/22/2009 1.What is the distance exactly from Moose to the Southern boundary of the GTNP on the Snake River? (General Question) The distance from Moose to the southern boundary of Grand Teton National Park on the Snake River is 6 miles. 2.Is there a new rate schedule for 2009 and/or 2010? (General Question) Use the 2008 rate schedule provided in the Prospectus, Business Opportunity. The 2009 and 2010 rate schedules have not been approved at this time. 3.What exactly is considered "relevant information contained elsewhere in a proposal in assessing the proposal's response to each particular selection factor?" (Proposal Instructions 2 b) The panel may consider information contained elsewhere, but is not required to do so. Therefore, it is important that your response provides all relevant information directly in response to each selection factor. Relevant information means having significant and demonstrable information bearing directly in response to each selection factor. 4.Is the outfitter while working in GTNP allowed to have its guides as independent contractors or do they have to be employees? A concessioner having guides as independent contractors is considered a subconcession and not allowed by the terms of the Contract. Guides must be employees of the concessioner. In the Prospectus the Draft Contract in Addendum 1, General Provisions, Section 3. Services and Operations, (d) states: "Subconcession or other third party agreements, including management agreements, for the provision of Visitor Services required and/or authorized under this Contract, whether in consideration of a percentage of revenues or otherwise, are not permitted." 5.What is the weighted score relevant to the percent of the franchise fee? Understanding 3% is equal to 1 point. Example: 5% equals how many points? (Principal Selection Factor 5 and subfactor 5a) The Prospectus, Proposal Instructions, Section 6) Evaluation of Proposals, subsection b) states, "For each selection factor, the Director will assign a score that reflects the determined merits of the proposal under the applicable selection factor and in comparison to the other proposals received, if any." A weighted score is not assigned relevant to the percent of the franchise fee offered. The score assigned reflects the determined merits of the proposal and in comparison to the other proposals received. 6.Is there a "sample" completed prospectus to use a reference? (General Question) The National Park Service does not have a sample of a completed prospectus (proposal) to use as a reference. Please refer to the Prospectus, Proposal Instructions for instructions. The Prospectus contains the information requested for a proposal for the subject contract. The following are suggestion to prospective offerors to complete a proposal:"Read the entire Prospectus, paying careful attention to the Proposal Package. "An important element when answering Proposal Package questions is to go down the list: Who, What, When, Where, Why and How, paying special attention to the How question."Identify what is being offered and then address how it will be accomplished. It is important to provide checklists and realistic plans on how something will be implemented and accomplished. 7.Are the limits of the Insurance correct as stated? Why are the limits for Auto only? (Exhibit D Section 2, B and D ) Note: As I understand it there is not any company that will write a Symbol 1 auto policy. Symbol 7 is the only coverage offered for fishing outfitters. This level of insurance, if even being able to be obtained would make the cost of doing business prohibitive. Does each individual guide have to get this auto policy individually as well? The Prospectus, Draft Contract, Exhibit D, Insurance Requirements states, "The Concessioner shall obtain and maintain during the entire term of this Contract, at its sole cost and expense, the types and amounts of insurance coverage necessary to fulfill the obligations of the Contract." Each concessioner authorized by a Contract shall obtain and maintain automobile insurance as required by the Contract. Attachment EQuestions Received from Jason Balogh Questions dated 4/22/2009 I am writing to see if you are aware that the automobile insurance requirement (Symbol 1) for the current Prospectus is not offered to fishing outfitters in Wyoming? As I understand it, each guide would need to get their own individual policy? These look to be extremely expensive policies and raise the cost of doing business considerably in an already expensive environment. The standard concession contract language published in the Federal Register, Volume 65, No. 87, May 4, 2000, Department of the Interior, National Park Service, Standard Concession Contract, Revision; requires coverage for bodily injury or property damage arising out of the ownership, maintenance or use of "any auto," Symbol 1. Attachment FQuestions Received from Tom Segerstrom Questions dated 4/22/2009 If GRTE-014 and GRTE-052 do not have a preferred applicant will the Park Service entertain an application that combines the two contacts to allow more flexibility for a single operator in order to better achieve Park management goals? The National Park Service will keep the concession contracts as solicited in the Prospectus and will not combine contracts CC-GRTE014-10 and CC-GRTE052-10.
