- SECTION B - SERVICES AND PAYMENT B.1. SUMMARY USTDA is considering the provision of Technical Assistance (TA) for an analysis of Energy Sector Training Program Activities (“Training Programs”) for the Iraqi oil and gas sector. The Training Programs will be implemented by USTDA in conjunction with other US Governmental (USG) agencies and the Iraqi Ministry of Oil (Ministry). USTDA seeks to contract with a US firm (Contractor) to provide USTDA preliminary recommendations concerning the structuring of the potential content, scope and timing of these Training Programs. The primary purpose of the Training Programs would be to support the Ministry’s efforts to increase the skill levels of energy sector officials and employees working in the Iraqi oil and gas sector. The Contractor will be required, among other tasks, to provide recommendations to USTDA concerning potential Training Programs in the Iraqi oil and gas sector. The Contractor shall work with various USG Agencies, the U.S. private and public sectors and the Ministry in developing key preliminary information concerning the proposed Iraqi Training Programs. The Contractor shall provide specific deliverables to USTDA (and other USG representatives) as set forth in Section C.2 below. These deliverables will include the submission of written analyses, comparisons, evaluations, recommendations, and other, work products, including a Final Report. The Final Report will include specific recommendations concerning the content, scope, timing and approximate cost of the Training Programs. This Contractor shall provide important evaluation services in connection with the contemplated Training Programs. It is essential that such evaluation be conducted with complete impartiality and objectivity and that the Contractor and its Subcontractors do not obtain an unfair competitive advantage in USTDA-funded activities resulting from this contract. In accordance with the principles of FAR Subpart 9.5 and USTDA policy, the Contractor and its Subcontractors, if any, for this contract shall be ineligible to compete for, as a prime or subcontractor or otherwise, USTDA-funded Ministry Training Program activities that result from this contract unless USTDA, through its Contracts Office, shall have granted a waiver, based upon FAR 9.503, that preclusion of the Contractor or its Subcontractors from the follow-on activity would not be in the Government's interest. This restriction shall remain in effect for three (3) years from the termination of this contract. The Contractor shall include this restriction in all subcontracts. B.2. SERVICES See Section I of this solicitation/contract for applicability of the contract clauses. For a period hereinafter set forth, and as more fully described in Section C, the Contractor shall provide expert advice and Technical Assistance to the U.S. Trade and Development Agency and other USG representatives as designated by USTDA. B.3. PAYMENT a. Payment shall be made in accordance with the clauses of the contract entitled "Prompt Payment" (FAR 52.232-25), "Progress Payments" (FAR 52.232-16) and "Payments" (FAR 52.232-1). b. Payment shall be made by the payment office designated in Section G of this Contract. C.2. TERMS OF REFERENCE The Contractor shall perform the following tasks within the specific time periods as set forth below: 1. Upon award of this contract the Contractor shall meet with USTDA's Contracting Officer's Technical Representative (“COTR”) (see G.2. below) to discuss, in detail, the specific requirements of this assignment as set forth below. The COTR will provide the Contractor with the names and addresses of select representatives of USG agencies and U.S. energy sector companies, universities, professional associations and other public and private institutions that the Contractor shall contact during the term of the Contract. The Contractor shall explore additional U.S. energy sector-supported training opportunities and meet with other U.S. energy companies. The Contractor shall report to USTDA on the results of these efforts. Unless otherwise advised, the meeting with the COTR will be held at USTDA's office in Arlington, Virginia. 2. Conduct meetings and coordinate work with designated USG agencies (including USTDA, the Department of Energy, the State Department and the U.S. Embassy in Baghdad) and U.S. energy companies engaged in the international oil and gas sector. These meetings and contacts shall include energy companies that are presently working in the Iraq energy sector and/or companies that have expressed an interest to become involved in this sector. 3. The Contractor shall review, to the extent practicable, work that has previously been conducted by the USG (and other international donors, if any) on the streamlining of the Iraqi oil and gas sector. It is anticipated that travel outside of the United States will be not required under this Contract. The Contractor will not be required to travel to Iraq. 4. Recommend to USTDA, the specific scope and content of the proposed Training Programs. a. The Contractor shall consider the provision of funds by USTDA to contract with a U.S. Contractor(s) (the “Training Program Contractor”) to provide officials within the Iraqi Oil and Gas sector selected The Contractor’s recommendations to USTDA (and the USG) shall be predicated upon a preliminary estimated budget in the range of $1 to $2 million dollars and potential additional in-kind and/or cash contributions from the Ministry and/or the U.S. private/public sectors. (The Contractor’s Technical Proposal, as submitted in response to this RFP, shall suggest possible sources of U.S. private sector contributions to the Training Programs and the Contractor shall be required to meet with these U.S. organizations’ representatives); b. The Contractor shall evaluate prior Iraqi oil and gas sector training needs assessments (and other technical analyses) that may have been performed by the USG, the Ministry and/or other international donors; and c. The Contractor shall prepare and submit interim memoranda and status reports as required by USTDA. 4. The Contractor shall prepare and submit a Preliminary Training Program Needs Assessment (“Preliminary TPNA”), which shall describe in detail the potential scope, cost and content of the proposed Training Programs, as well as a cost-benefit analysis and comparison of the various training options. The Preliminary TPNA shall provide USTDA with specific Training Program recommendations as based upon the Contractor’s findings and shall be drafted as a stand alone document; a. The Preliminary TPNA shall include a detailed review of the work specified in Section C, herein, specifically the interest, capabilities and commitments, if any, of the U.S. private sector; b. The Preliminary TPNA shall include: an assessment of training needs within the Iraqi oil and gas sector and shall identify various forms of Training Programs necessary to update the legal and regulatory framework of the Iraqi oil and gas sector. The Contractor shall recommend efforts to support the Government of Iraq’s capacity to coordinate donor assistance within the oil and gas sector; and shall recommend Training Program activities to build the professional capacity of energy sector officials and employees as recruited from the relevant Ministry departments; c. A draft Preliminary TPNA shall be submitted to USTDA within sixty (60) days after notification of USTDA’s acceptance of the Contractor’s bid; and d. The Preliminary TPNA shall be submitted to USTDA within five days after receiving USTDA's comments on the Draft Preliminary TPNA report. 5 The Contractor shall prepare a Final Report to USTDA that addresses in detail the matter required by Sections C.2 1-4 above; a. The Final Report shall include an analysis of the information and data obtained through the Contractor’s discussions with representatives of the U.S. energy sector and U.S. Government officials, including the Departments of Energy and State, U.S. Embassy (Baghdad), USTDA, as well as the Contractor's independent research. The Final Report shall also include, among other standard USTDA requirements, an analysis of the proposed Training Programs potential implementation financing, developmental effects, environmental issues, impact, if any, on U.S. labor, U.S. export potential and potential foreign competition; b. Since this Final Report may be made available for public distribution, any sensitive or proprietary information shall be included in a separate confidential attachment to the Final Report; c. The Contractor shall provide the Final Report in draft form to USTDA within three (3) weeks after receiving USTDA's comments concerning the Preliminary TPNA. The Final Report should be clearly marked "Draft" on the cover; d. Within five (5) working days after receiving USTDA's comments on the draft Final Report, the Contractor shall provide twenty (20) bound copies of the Final Report (including the Preliminary TPNA), which incorporates the required changes/revisions and an unbound original to USTDA. e. It is the responsibility of the Contractor to verify with the COTR that the report is considered acceptable and ready for production of the appropriate number of copies; and f. All reports must be paginated. All reports must be submitted on a 3.5-inch disk in Microsoft Word. C.3. DELIVERABLES The Contractor shall provide: · Verbal and written status reports to the COTR (and other USG representatives), as requested by the COTR; · A Preliminary TPNA within five (5) days after receiving USTDA's comments on the draft Preliminary TPNA report; and · A Final Report within three (3) weeks after receiving USTDA's comments on the draft Final Report TPNA.
